Agreement Recitals

This General Business Agreement (the "Agreement") is entered into by and between Company Name: and Client Name: as of Effective Date: .

WHEREAS, Company is engaged in the business of providing professional services and solutions to clients and has expertise relevant to the Scope of Work described below;

WHEREAS, Client desires to engage Company to perform certain services under the terms and conditions set forth in this Agreement, and Company is willing to perform such services on the terms herein;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows.

Scope of Work

Company shall perform the services described below (the "Services"). The Services shall be performed in a professional and workmanlike manner consistent with industry standards.

Payment Terms

Client shall pay Company for the Services in accordance with the following terms.

Late payments shall accrue interest at the lesser of (a) the rate of % per month, or (b) the maximum rate permitted by applicable law. Client shall also reimburse Company for reasonable costs of collection, including attorneys' fees.

Term and Termination

This Agreement shall commence on Start Date: and shall continue until End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon providing written notice to the other party at least days prior to the effective termination date. Either party may terminate immediately for cause if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice specifying the breach.

Upon termination, Client shall pay Company for all Services performed and expenses incurred through the effective date of termination. Sections that by their nature survive termination shall survive.

Confidentiality

Each party (the "Recipient") shall keep confidential all information disclosed by the other party (the "Discloser") that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information excludes information that: (a) is or becomes publicly known through no breach by Recipient, (b) is rightfully received from a third party without restriction, (c) is independently developed by Recipient without use of Discloser's Confidential Information, or (d) is required to be disclosed by law, regulation, or court order (subject to prior notice to Discloser where permitted).

Recipient shall use Confidential Information solely to perform its obligations under this Agreement and shall not disclose it to any third party except to employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those in this Agreement. Confidentiality obligations shall continue for a period of years following termination or expiration of this Agreement.

Representations; Warranties; Indemnity

Each party represents and warrants that it has the full corporate power and authority to enter into and perform its obligations under this Agreement. Company represents that the Services will be performed in a competent, workmanlike manner in accordance with prevailing industry standards. EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, COMPANY MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED.

Client agrees to indemnify, defend, and hold harmless Company from and against any third-party claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) arising out of Client's breach of this Agreement, misuse of deliverables, or violation of applicable law.

Governing Law and Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties agree that any legal action arising out of or relating to this Agreement shall be brought exclusively in the state or federal courts located in the same state, and the parties submit to the personal jurisdiction of such courts.

Entire Agreement; Amendments

This Agreement, including any attachments and exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether oral or written. No amendment or modification shall be effective unless in writing and signed by authorized representatives of both parties.

Additional Provisions

Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that Company may assign to an affiliate or in connection with a sale of substantially all of its assets. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
