WHEREAS, Client desires to engage Service Provider to perform such services under the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants set forth in this Agreement, the parties agree as follows.

Scope of Work

Payment Terms

Client agrees to pay Service Provider the Total Fee in the amount of USD, pursuant to the following schedule and conditions.

Invoices are due within days of receipt. Late payments shall incur a late fee of per month, compounded monthly, or a flat fee of USD, whichever is greater. Client is responsible for all reasonable collection costs, including legal fees.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate for material breach if the breach is not cured within 15 days after written notice specifying the breach. Termination does not relieve Client of payment obligations for services performed and expenses incurred through the effective date of termination.

Confidentiality

For purposes of this Agreement, "Confidential Information" means non-public business, technical or financial information disclosed by one party to the other in any form. Each party shall (a) hold Confidential Information in confidence, (b) use it solely to perform obligations under this Agreement, and (c) not disclose it to any third party except to employees, contractors or professional advisors who have a need to know and who are bound by confidentiality obligations no less protective than those herein. Confidential Information does not include information that is or becomes publicly available other than through a breach of this Agreement, or that is independently developed by the receiving party without use of the disclosing party's Confidential Information, or that is required to be disclosed by law or valid legal process (provided the receiving party gives prompt notice and cooperates in any lawful effort to limit disclosure).

Breach of this confidentiality obligation will cause irreparable harm for which monetary damages alone may be inadequate; accordingly, the non-breaching party shall be entitled to injunctive relief in addition to other remedies available at law or in equity.

Representations and Warranties

Each party represents that it has the legal power and authority to enter into this Agreement and to perform its obligations hereunder. Service Provider warrants that services will be performed in a professional and workmanlike manner consistent with generally accepted industry standards.

Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to choice-of-law rules. The parties agree to attempt in good faith to resolve disputes through negotiation; if unresolved within 30 days, disputes shall be resolved by binding arbitration conducted in the county of the chosen governing state.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment must be in writing and signed by both parties.
