Either party may terminate this engagement for convenience upon days' prior written notice. Termination for cause (material breach) is effective immediately upon written notice if the breach is not cured within days. Upon termination, Client shall pay for services performed and expenses incurred through the effective date of termination.

Confidentiality and Data Protection

Each party acknowledges that it may receive or have access to confidential or proprietary information of the other party ("Confidential Information"). Confidential Information includes non-public business information, technical specifications, trade secrets, pricing, client lists, and personal data. Each receiving party shall: (a) hold the Confidential Information in strict confidence using at least the same degree of care it uses with its own confidential information; (b) not use Confidential Information except to perform agreed services; and (c) not disclose Confidential Information to any third party except to employees, contractors, or advisors who have a need to know and are bound by confidentiality obligations at least as protective as those herein.

Exceptions: Confidential Information does not include information that is or becomes publicly known through no wrongful act of the receiving party, was lawfully in the receiving party's possession prior to disclosure, or is rightfully obtained from a third party without restriction. Disclosure required by law or valid legal process is permitted if the disclosing party is given prompt notice to seek protective measures.

Survival: The confidentiality obligations survive termination or expiration of this Packet for a period of three (3) years, except that trade secrets and personal data shall remain protected for so long as applicable law requires or the information qualifies as a trade secret.

Warranties; Liability

Provider warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. EXCEPT FOR THE EXPRESS WARRANTY SET FORTH IN THIS PARAGRAPH, PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, OR PUNITIVE DAMAGES. THE AGGREGATE LIABILITY OF PROVIDER ARISING OUT OF OR RELATING TO THIS PACKET SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY CLIENT TO PROVIDER UNDER THIS PACKET.

Governing Law; Dispute Resolution

This Packet shall be governed by and construed in accordance with the laws of the state of , without regard to its conflicts of law principles. The parties shall attempt in good faith to resolve disputes through negotiation. If unresolved, disputes shall be resolved by binding arbitration conducted in the governing state under its arbitration statutes, unless the parties mutually agree otherwise in writing.

Entire Agreement; Amendments
