WHEREAS, Client requires certain services, deliveries or advisory work described below; and

WHEREAS, Service Provider represents that it has the experience, personnel and resources necessary to perform the required work and is willing to provide such services on the terms set forth in this Form; and

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

Compensation payable by Client to Service Provider for the Scope of Work shall be as follows:

Unless otherwise agreed in writing, all invoices are due in accordance with the payment schedule above. Client shall be responsible for any applicable taxes. Service Provider may suspend performance for overdue payments after providing ten (10) days' written notice of intent to suspend.

Term and Termination

Either party may terminate this engagement for convenience upon providing written notice days prior to the intended termination date. Either party may terminate immediately for material breach that remains uncured for fifteen (15) days following written notice of such breach. Termination does not relieve Client of the obligation to pay for services performed and costs incurred through the effective date of termination.

Confidentiality

"Confidential Information" means non-public business, technical or financial information disclosed by one party to the other, whether disclosed orally, visually or in writing. The receiving party shall (i) maintain Confidential Information in strict confidence, (ii) not disclose it to any third party except as expressly permitted herein, and (iii) use Confidential Information solely for the purposes of performing obligations under this Form. Confidentiality obligations shall not apply to information that is or becomes publicly available other than through a breach of this clause, or that is independently developed by the receiving party without use of the disclosing party's Confidential Information. Upon termination or written request, the receiving party shall return or destroy Confidential Information as directed by the disclosing party.

Governing Law

This Form shall be governed by and construed in accordance with the laws of the jurisdiction specified below, without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts of that jurisdiction for resolution of disputes.

Entire Agreement

This Form, including any exhibits or attachments incorporated by reference, constitutes the entire agreement between the parties and supersedes all prior discussions, proposals, and agreements, whether written or oral, relating to the subject matter hereof. Any modification must be in writing and signed by duly authorized representatives of both parties.

Notices

Notices shall be given in writing and delivered by hand, nationally recognized overnight carrier, or certified mail, return receipt requested, to the addresses provided above or as subsequently modified by written notice to the other party.
