CLIENT SIGNATURE BUNDLE

This Client Signature Bundle (the Agreement) is entered into as of Effective Date: by and between Client Name: (Client) and Service Provider Name: (Provider). Client and Provider are each a Party and collectively the Parties.

WHEREAS

WHEREAS, Client requires certain services and deliverables as set forth in Section 1 (Scope of Work) and Provider represents that it has the skill, capacity and personnel to perform such services in a professional manner; and

WHEREAS, the Parties desire to record their mutual understanding regarding performance obligations, fees, confidentiality and other material terms in this Agreement.

1. SCOPE OF WORK

Provider shall perform the services and provide the deliverables described below. The description below constitutes the essential scope and shall control over any conflicting prior communications.

2. PAYMENT TERMS

Client shall pay Provider the compensation described below in consideration for full performance of the Scope of Work. All amounts are in lawful currency of the United States unless otherwise agreed in writing.

If payment is not received within the agreed term, Provider may suspend performance after providing written notice and an opportunity to cure of no fewer than the Invoice Due Within days set above. Client shall also reimburse Provider for reasonable collection costs, including attorneys' fees, incurred in enforcing payment.

3. TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated in accordance with this Section.

Either Party may terminate this Agreement for material breach by the other Party if the breaching Party fails to cure the breach within the notice period specified above following written notice. Provider may immediately terminate this Agreement for nonpayment. Termination shall not relieve Client of accrued payment obligations for services performed through the effective date of termination.

4. CONFIDENTIALITY

For purposes of this Agreement, "Confidential Information" means non-public information disclosed by one Party to the other, whether disclosed orally, visually or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Each receiving Party agrees to: (a) hold Confidential Information in strict confidence using at least the same degree of care it uses to protect its own confidential information but in no event less than a reasonable degree of care; (b) not disclose Confidential Information to third parties except to employees, agents or contractors who need to know and who are bound by confidentiality obligations at least as protective as those herein; and (c) use Confidential Information solely to perform obligations or exercise rights under this Agreement.

Confidential Information does not include information that: (i) is or becomes generally available to the public other than as a result of a breach of this Agreement; (ii) was already known by the receiving Party without obligation of confidentiality; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed by the receiving Party without use of Confidential Information. The obligations of confidentiality shall survive termination of this Agreement for a period of years, except that trade secrets shall remain protected for so long as they qualify as trade secrets under applicable law.

5. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The state and federal courts located in that State shall have exclusive jurisdiction over disputes arising out of or relating to this Agreement, and each Party hereby consents to personal jurisdiction and venue in those courts.

6. ENTIRE AGREEMENT; MISCELLANEOUS

This Agreement, including the Scope of Work and any mutually executed attachments, constitutes the entire agreement between the Parties regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, understandings and communications, whether written or oral. Any amendment to this Agreement must be in writing and signed by authorized representatives of both Parties.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Failure or delay by either Party to exercise any remedy under this Agreement shall not constitute a waiver of that remedy.
