Confidentiality

Each party acknowledges that during the course of performance it may receive or have access to Confidential Information of the other party. "Confidential Information" includes nonpublic business, technical and financial information. Each party shall (i) hold Confidential Information in confidence using at least the same degree of care it uses to protect its own confidential information but in no event less than reasonable care; (ii) not disclose Confidential Information to any third party except as expressly permitted in writing; and (iii) use Confidential Information solely for the purposes of performing obligations under the Agreement. The foregoing obligations shall survive termination for a period of three (3) years, except for trade secrets which shall be protected for so long as they remain trade secrets under applicable law.
