WHEREAS, the Client wishes to retain the Service Provider to perform services described below under the terms and conditions set forth in this form;

WHEREAS, the Service Provider warrants that it possesses the necessary experience, personnel, and resources to perform the services in a professional manner in accordance with industry standards;

NOW, THEREFORE, in consideration of the mutual covenants and promises contained herein, the parties agree as follows.

Scope of Work

Deliverables and acceptance criteria must be documented in writing and signed by both parties prior to commencement of work. Any change in scope that materially alters cost or schedule shall require a written change order signed by both parties.

Payment Terms

Late Payment: Payments not received within days of invoice due date shall bear interest at per month (or the maximum lawful rate if lower). Client will also be responsible for any collection costs and reasonable attorneys' fees.

Term and Termination

This Agreement shall commence on the Effective Date and continue until unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate for material breach if the breach remains uncured for thirty (30) days after written notice specifying the breach.

Upon termination, Client shall pay Service Provider for all services performed and expenses incurred through the effective date of termination. Service Provider shall deliver all completed and work-in-progress to Client within ten (10) business days of termination.

Confidentiality

Each party shall treat as Confidential Information all information disclosed by the other party that is marked confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information shall not include information that is: (a) already known to the receiving party without obligation of confidentiality; (b) becomes publicly available through no fault of the receiving party; (c) rightfully received from a third party without confidentiality obligations; or (d) independently developed by the receiving party.

The receiving party shall restrict disclosure of Confidential Information to those employees, contractors, or agents with a legitimate need to know and shall use at least reasonable care to protect such information. Upon termination or upon written request, Confidential Information (and all copies) shall be returned or certified destroyed.

Representations; Warranties; Liability

Each party represents that it has the corporate or legal authority to enter into and perform its obligations under this Agreement. Service Provider represents that services will be performed in a competent and professional manner consistent with industry standards. EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, SERVICES ARE PROVIDED "AS IS" AND SERVICE PROVIDER DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED.

IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. THE PARTIES' AGGREGATE LIABILITY FOR DIRECT DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID OR PAYABLE TO SERVICE PROVIDER UNDER THIS AGREEMENT DURING THE SIX (6) MONTHS PRECEDING THE CLAIM.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles. The parties shall attempt in good faith to resolve any dispute arising out of or relating to this Agreement through negotiation. If negotiation fails, disputes shall be resolved in the state or federal courts located within the county where the Service Provider's principal place of business is located.

Entire Agreement; Amendments

This Agreement, including any exhibits or written change orders signed by both parties, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, understandings, and communications. Any amendment or modification must be in writing and signed by both parties.

Client Acknowledgement and Authorizations

By checking the box below, Client certifies that the individual signing on behalf of Client is authorized to bind Client to this Agreement and that Client agrees to the payment terms, confidentiality obligations, and all other provisions contained herein.

All notices shall be in writing and delivered by hand, certified mail (return receipt requested), or a nationally recognized overnight courier to the addresses listed above, or to such other address as either party may designate by notice in accordance with this section.
