CLIENT SIGNATURE SHEET

This Client Signature Sheet evidences the agreement between the parties identified below and forms part of the General Business Agreement concerning provision of services. Effective Date:

Parties

WHEREAS

WHEREAS, Client engages Service Provider to perform the services described herein and Service Provider is willing to provide such services under the terms and conditions of this Agreement.

WHEREAS, the parties intend that the scope, compensation, confidentiality obligations and remedies for breach shall be set forth below and that signatures on this Client Signature Sheet shall bind the parties to the stated terms.

Scope of Work

Service Provider shall perform the services described below. The parties acknowledge that a clear description of deliverables, milestones and acceptance criteria reduces the risk of dispute.

Payment Terms

In consideration for the services, Client shall pay Service Provider the fees and expenses set forth below. All payments are due in lawful currency within the time specified and are subject to the late fee provisions stated herein.

Late payments shall incur the stated late fee and interest at the rate specified above. Acceptance of late payment shall not constitute waiver of any default or extend any payment deadline except by express written amendment.

Term and Termination

The term of this Agreement commences on the Start Date and continues until the End Date, unless earlier terminated as provided below.

Either party may terminate for material breach if such breach is not cured within the notice period following written notice. Either party may terminate for convenience upon the notice period with payment for work performed through the effective termination date.

Confidentiality

Each party shall hold in confidence and not disclose Confidential Information of the other party, except as necessary to perform obligations under this Agreement or as required by law. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, or that is rightfully received from a third party without restriction.

Upon termination or request, the receiving party shall return or certify destruction of Confidential Information. Remedies for breach include injunctive relief and recovery of damages, in addition to other remedies available at law.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state specified below, without regard to its conflict of laws principles.

Entire Agreement

This Client Signature Sheet, together with any schedules or exhibits expressly incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral.

Representations and Certifications

Each party represents that it has the full right, power and authority to enter into this Agreement and that the person signing on its behalf is duly authorized to bind such party. Signatures provided below shall serve as an acknowledgement of acceptance of the terms set forth in this Client Signature Sheet.
