Either party may terminate this Agreement for convenience upon providing written notice to the other party no fewer than days prior to the intended termination date. Termination for cause may be immediate where a material breach remains uncured after ten (10) days' written notice.

Confidentiality

Each party agrees to hold Confidential Information of the other party in strict confidence and not to disclose such information except as required to perform under this Agreement or as required by law. Confidential Information excludes information which is or becomes public through no breach by the receiving party, is independently developed, or is rightfully received from a third party without obligation of confidentiality.

The confidentiality obligations set forth herein shall survive termination of this Agreement for a period of three (3) years.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of: without regard to conflict of laws principles.

Entire Agreement

This Agreement, including any exhibits and the Scope of Work described herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, representations and understandings. Any amendment or modification must be in writing and signed by authorized representatives of both parties.
