Parties

Recitals

WHEREAS, Client desires to engage Service Provider to perform certain services as further described in this Agreement and associated schedules; and

WHEREAS, Service Provider represents that it has the experience, personnel and ability to perform the services described herein; and

WHEREAS, the parties desire to maintain a register of authorized client signatories and related contact information in the form of this Client Signature Spreadsheet, which shall be incorporated into and governed by the General Business Agreement terms below.

Scope of Work

The Service Provider shall perform the services described below for the Client. The parties may attach supplemental schedules describing tasks, deliverables, milestones and acceptance criteria. Any change to the scope must be agreed in writing by the parties.

Payment Terms

Client shall pay Service Provider the fees set forth below in consideration for the services performed. Invoices will state the period of performance and the work completed. Unless otherwise agreed in writing, all payments shall be made in United States dollars.

If any undisputed invoice is not paid within the time stated on the invoice, Client shall pay interest on the overdue amount at the rate specified above and shall reimburse Service Provider for reasonable collection costs, including attorneys' fees.

Term and Termination

The term of this Agreement shall commence on the date set forth below and, unless earlier terminated as provided herein, shall continue through the end date set forth below.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period set forth above following written notice. Termination shall be without prejudice to any accrued rights or obligations of either party. Provisions that by their nature survive termination shall so survive.

Confidentiality

For purposes of this Agreement, "Confidential Information" means nonpublic information disclosed by one party to the other, whether oral, written, graphic or electronic, including business plans, pricing, financial information, client lists, technical information and trade secrets. Each recipient agrees to (a) hold confidential the disclosing party's Confidential Information using at least the same degree of care as it uses to protect its own confidential information but no less than a reasonable standard of care; (b) use Confidential Information solely to perform obligations under this Agreement; and (c) not disclose Confidential Information to third parties except to those employees, agents or contractors who have a need to know and who are bound by confidentiality obligations no less protective than those herein.

Confidential Information does not include information that: (i) is or becomes generally available to the public through no fault of the recipient; (ii) was rightfully in the recipient's possession without restriction prior to receipt; (iii) is rightfully received from a third party without restriction; or (iv) is independently developed by the recipient without reference to the disclosing party's Confidential Information. If recipient is compelled by law to disclose Confidential Information, recipient will provide prompt notice to disclosing party so that disclosing party may seek protective measures.

The following table is a register of client personnel authorized to execute documents, approve invoices or otherwise act on behalf of the Client in matters related to the services. Service Provider may rely on the authority of listed individuals until Client provides written notice of any change.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the state identified below, without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that state for any action arising out of or relating to this Agreement.

This document, together with any schedules and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. No amendment shall be effective unless in writing and signed by both parties.

Representations and Remedies

Each party represents that it has the authority to enter into this Agreement. A breach of the confidentiality or signatory register provisions would cause irreparable harm for which monetary damages may be inadequate; accordingly, the non-breaching party shall be entitled to seek injunctive relief in addition to any other remedies available at law or in equity.
