RECITALS

WHEREAS, the Client maintains an active account with the Provider for the delivery of services and the administration of contractual obligations; and

WHEREAS, accurate and current signature records are required by the Provider to authenticate transactions, authorize actions on the Client's behalf, and to maintain the integrity of account controls; and

WHEREAS, the Client desires to replace or update the authorized signature on file and the Provider is willing to accept such update subject to the terms and verification set forth in this document.

REQUEST DETAILS

SCOPE OF WORK

The Provider shall accept and record the signature update for the Client's account. The Provider shall update internal records, authentication tokens, access control lists, and any delegated authority lists to reflect the new authorized signatory. The Provider's actions are limited to administrative updates necessary to effectuate signature recognition and do not create any new authority beyond that expressly granted by the Client in separate governing account documentation.

PAYMENT TERMS

If fees are required for administrative processing of the signature update, the Client agrees to the following payment terms.

TERM AND TERMINATION

This update shall become effective on the effective date specified above and shall remain in effect until superseded in writing by the Client or terminated by the Provider in accordance with the notice provisions below.

CONFIDENTIALITY

Each party shall maintain in confidence all non-public information disclosed in connection with this signature update that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information does not include information that is or becomes publicly available through no breach by the receiving party, was known to the receiving party prior to disclosure, or is rightfully obtained from a third party without restriction.

GOVERNING LAW

This form and any dispute arising out of or relating to the acceptance, processing or enforcement of the signature update shall be governed by and construed in accordance with the laws of the jurisdiction identified below, without regard to conflict of law principles.

ENTIRE AGREEMENT

This form, together with any attachments and accepted verification documents, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, representations, and understandings regarding signature authority for the Client's account.

CERTIFICATION AND AUTHORIZATION
