Recitals

WHEREAS, Client Name declares that it requires certain services and special notices as defined in this agreement and desires to engage Service Provider Name to perform those services in accordance with the terms set forth herein; and

WHEREAS, Service Provider Name represents that it has the experience, personnel, and qualifications necessary to perform the services and to receive and act upon any special notices delivered under this form; and

WHEREAS, the parties desire to set forth the special notice procedures, payment terms, confidentiality commitments, and governing law that will apply to notices and related activities under their business relationship.

Special Notice Description

This Client Special Notice Form documents the particular circumstances, deadlines, and conditions that constitute a "Special Notice" for purposes of the parties' agreement. A Special Notice is any communication that requires expedited handling, escalated response, or special record retention beyond routine correspondence.

Scope of Work

The Provider shall take the following actions when a Special Notice is issued by the Client: acknowledgement, priority handling, internal escalation, written response within the timeframe specified below, and secure retention of all related records.

Payment Terms

Client shall pay Provider the fees for Special Notice services in accordance with the schedule below. All amounts are in U.S. dollars unless otherwise specified.

Term and Termination

This Special Notice framework commences and terminates as set forth below unless earlier terminated in accordance with this section.

Either party may terminate this Special Notice arrangement for material breach that remains uncured for the notice period set forth above. Termination shall not relieve Client of payment obligations for services already rendered.

Confidentiality

Each party acknowledges that in connection with Special Notices it may receive Confidential Information of the other party. "Confidential Information" includes nonpublic business information, records of notices, internal investigation results, and related data. Each receiving party shall (a) use Confidential Information only to perform its obligations under this form, (b) restrict access to employees and agents with a need to know and under binding confidentiality obligations, and (c) take commercially reasonable measures to protect Confidential Information from unauthorized disclosure.

Notices

All formal notices required or permitted under this form shall be in writing and delivered to the contact details set forth below. Notices are effective upon receipt when delivered by hand or electronic delivery with confirmation, and three business days after deposit if sent by certified mail.

Governing Law and Entire Agreement

This Special Notice Form and any disputes arising out of it shall be governed by the laws of the state identified below, without regard to conflict of laws principles. The parties hereby submit to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes.

This form, together with any incorporated documents referenced herein, constitutes the entire agreement between the parties with respect to Special Notices and supersedes all prior negotiations, understandings, and agreements, whether written or oral, relating to the subject matter hereof.
