Recitals

Invoices are due within days of receipt. Late payments shall accrue interest at or the maximum rate permitted by law, whichever is less.

Term and Termination

This Agreement commences on Start Date: and expires on End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon written notice given at least days prior to termination. Either party may terminate for material breach if such breach remains uncured for a period of days after written notice.

Confidentiality

Each party (a "Receiving Party") shall keep confidential and not disclose or use except in performance of this Agreement any proprietary or confidential information of the other party (the "Disclosing Party"). Confidential information includes non-public business information, trade secrets, technical data, client lists, pricing, strategies, and other information that a reasonable person would understand to be confidential. The Receiving Party shall protect such information using at least the same standard of care it uses for its own confidential information but in no event less than reasonable care.

The confidentiality obligations shall continue for a period of following termination or expiration of this Agreement, except for information that (i) is or becomes public other than by breach of this Agreement, (ii) was already known to the Receiving Party without obligation of confidentiality, or (iii) is independently developed.

Representations; Insurance

Each party represents that it has the right to enter into this Agreement and perform its obligations hereunder. Service Provider represents that it will carry sufficient insurance customary for the services provided and will furnish certificates of insurance upon reasonable request.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

Entire Agreement

This Agreement, together with any attachments and statements of work expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment shall be effective unless in writing and signed by both parties.

Additional Provisions

Notices required or permitted by this Agreement shall be given in writing to the addresses set forth in this packet and shall be effective upon receipt. If any provision of this Agreement is held invalid, the remainder of the Agreement shall continue in full force and effect.
