This Client Submission Form (the "Agreement") is entered into effective as of between Client Name: and Service Provider Name: .

WHEREAS

WHEREAS, Client has submitted a request for services and deliverables described herein, and Provider has experience and capacity to perform such services under the terms set forth below.

WHEREAS, Client desires to engage Provider to perform the Scope of Work and to accept Provider's submission and related deliverables on the terms contained in this Agreement.

WHEREAS, the parties intend that this Agreement set forth the full understanding regarding the submission, performance, payment, confidentiality, and governing law applicable to the engagement.

SUBMISSION DETAILS

SCOPE OF WORK

Provider shall perform the tasks, produce the deliverables, and satisfy the milestones set forth below. The Scope of Work shall include all work reasonably necessary to complete the submission and any related revisions described herein.

PAYMENT TERMS

Client shall compensate Provider as set forth below. All monetary amounts are payable in the currency mutually agreed by the parties.

TERM AND TERMINATION

This Agreement commences on Start Date: and shall continue until End Date: unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within Notice Period: following written notice. Provider may suspend performance if Client fails to pay amounts when due, subject to the cure right and any applicable dispute procedures.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party ("Disclosing Party") to the other ("Receiving Party") in connection with this Agreement, including business plans, technical data, pricing, deliverables, and client lists. Receiving Party shall (a) use Confidential Information solely to perform its obligations under this Agreement; (b) restrict disclosure to employees and contractors with a need to know; and (c) exercise at least the same degree of care to protect Confidential Information as it uses to protect its own confidential information, but in no event less than reasonable care.

Confidentiality obligations shall continue for a period of three (3) years following termination or expiration of this Agreement, except that trade secrets shall remain protected for as long as they qualify as trade secrets. Nothing in this Agreement prevents disclosure required by law, provided the Receiving Party gives prompt notice to the Disclosing Party and limits disclosure to the minimum required.

GOVERNING LAW; REMEDIES

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties agree that equitable relief, including injunctive relief, is available to prevent actual or threatened breaches of confidentiality or misuse of intellectual property.

ENTIRE AGREEMENT

This Agreement, including any attachments, statements of work, or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior oral or written negotiations, representations, and agreements. Any amendments must be in writing and signed by authorized representatives of both parties.

REPRESENTATIONS AND CERTIFICATIONS

Each party represents that it has full power and authority to enter into this Agreement and that the individual signing on behalf of each party is authorized to bind that party. Client certifies that all materials submitted to Provider do not infringe third-party intellectual property rights and that Client has the right to provide such materials.

NOTICES

Notices under this Agreement shall be in writing and delivered to the contact information provided above or as updated in writing by either party. Notice is effective upon personal delivery, one business day after delivery to a nationally recognized overnight courier, or three business days after deposit in the U.S. mail, postage prepaid.
