CLIENT SUPPORT FORM

WHEREAS

WHEREAS, Provider is engaged in the business of delivering technical and administrative client support services including helpdesk, remediation, maintenance, and advisory services; and

WHEREAS, Client desires to procure support services from Provider under the terms and conditions set forth in this Agreement to address Client support requests and related obligations; and

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows.

SCOPE OF WORK

Provider shall perform the support services requested by Client, including but not limited to triage, troubleshooting, remote support, on-site support when agreed, maintenance, and advisory services as specified below. The specific tasks, deliverables, and acceptance criteria for each support engagement shall be described by Client in the Support Request Details and may be appended to this Agreement.

SUPPORT REQUEST DETAILS

PAYMENT TERMS

Client shall pay Provider for support services in accordance with the following terms. Fees described below constitute the full compensation for services rendered unless otherwise agreed in writing.

If Client fails to pay undisputed invoices by the due date, Provider may suspend support services after providing five (5) business days' written notice. Client shall remain liable for all fees accrued prior to suspension and for any reasonable costs incurred to reinstate services.

TERM AND TERMINATION

This Agreement commences on Start Date: and continues until End Date: , unless earlier terminated as provided herein.

Either party may terminate this Agreement for convenience upon written notice delivered at least days prior to the effective termination date. Either party may terminate immediately for cause if the other party materially breaches any provision of this Agreement and fails to cure that breach within thirty (30) days after receipt of written notice specifying the breach.

Upon termination, Client shall pay Provider for all services performed and expenses incurred through the effective termination date. Provider will deliver any work product reasonably requested by Client upon payment of outstanding fees.

CONFIDENTIALITY

During the term of this Agreement and for a period of three (3) years thereafter, each party shall hold in strict confidence all nonpublic information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"). Confidential Information excludes information that (i) is or becomes publicly known other than by breach of this Agreement; (ii) was known to the receiving party prior to disclosure without restriction; (iii) is received from a third party without breach of an obligation of confidentiality; or (iv) is independently developed without use of Confidential Information.

The receiving party shall use Confidential Information only to perform its obligations under this Agreement and shall restrict access to those employees, contractors and agents who have a need to know and who are bound by confidentiality obligations no less protective than those contained herein.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located within that state for the resolution of disputes arising under this Agreement.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any modification or amendment to this Agreement must be in writing and signed by duly authorized representatives of both parties.

ADDITIONAL PROVISIONS

Relationship of the Parties: The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship. Assignment: Neither party may assign this Agreement without the prior written consent of the other, except that Provider may assign to an affiliate or successor in connection with a merger or sale of substantially all of its assets. Severability: If any provision is held invalid, the remaining provisions will remain in full force and effect.
