Either party may terminate this engagement for convenience upon days' prior written notice. Termination for material breach is permitted with immediate effect if the breaching party fails to cure within days after written notice.

Each party shall treat as confidential all non-public information disclosed in connection with this engagement and shall not disclose such information except to its employees or contractors who need to know and are bound by equivalent confidentiality obligations. Confidential information shall remain confidential for years from the date of disclosure, except for trade secrets which shall remain protected for as long as they meet legal criteria for trade secret protection.

Limitation of Liability

Except for liability arising from willful misconduct or gross negligence, neither party shall be liable for indirect, incidental, special, punitive, or consequential damages. Provider's aggregate liability for any claim arising out of this Quote shall not exceed the total amount paid to Provider under this Quote.

Governing Law

This Quote and any resulting agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of laws principles.

Entire Agreement & Acceptance
