WHEREAS

WHEREAS, Client desires to retain Service Provider to perform ongoing technical, administrative, or advisory support services as described herein; and

WHEREAS, Service Provider represents that it has the experience, personnel, and resources necessary to perform the support services on the terms set forth in this Retainer Agreement (the "Agreement"); and

WHEREAS, the parties desire to set forth the scope, payment terms, confidentiality obligations, and other provisions governing the relationship.

PAYMENT TERMS

TERM AND TERMINATION

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement without cause by providing written notice at least days prior to termination. For material breach that remains uncured for 14 days after written notice, the non-breaching party may terminate immediately for cause.

Upon termination, Service Provider shall deliver all work in progress. Any unused prepaid retainer balances shall be applied to outstanding invoices; any remaining refundable balance shall be returned to Client as set forth in the invoice following final accounting.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by either party that is designated as confidential or that, by its nature, should reasonably be understood to be confidential. Service Provider shall (i) hold Confidential Information in strict confidence, (ii) use Confidential Information solely for performance under this Agreement, and (iii) not disclose Confidential Information to any third party except to employees, contractors, or advisors who need to know and who are bound by confidentiality obligations no less protective than those herein.

Confidential Information does not include information that: (a) is or becomes publicly available through no breach of this Agreement; (b) is rightfully received from a third party without restriction; (c) is independently developed without use of Confidential Information; or (d) is required to be disclosed by law, provided the disclosing party gives reasonable prior notice where legally permitted.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of law principles. The parties agree to attempt in good faith to resolve disputes promptly through negotiation between senior representatives; if unresolved within 30 days, the parties may pursue any available legal or equitable remedies.

MISCELLANEOUS

Independent Contractor. Service Provider is an independent contractor and nothing in this Agreement creates an employment, agency, partnership, or joint venture relationship.

Limitation of Liability. Except for liability arising from gross negligence, willful misconduct, or breach of confidentiality, neither party shall be liable for consequential, incidental, special, or punitive damages. Total aggregate liability shall not exceed the fees paid by Client to Service Provider in the preceding six months.

Assignment. Neither party may assign this Agreement without the prior written consent of the other, except that Service Provider may assign to a successor entity in connection with a merger or sale of substantially all its assets.

ENTIRE AGREEMENT

This Agreement, including any exhibits or statements of work incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.
