Client and Provider Information

Recitals

WHEREAS, Client desires to obtain a structured survey to collect feedback from a specified population for the purposes of program evaluation, product development, or market research; and

WHEREAS, Service Provider represents that it has the professional expertise, personnel, and systems necessary to design, administer and report on such a survey in accordance with the terms set forth in this Request and applicable law; and

WHEREAS, the parties wish to set forth the scope, schedule, payment and confidentiality obligations governing the work to be performed.

Scope of Work

Service Provider shall perform the following services consistent with professional standards and the agreed schedule. Deliverables include instrument design, sampling, administration, data collection, data cleaning, analysis, and final reporting as described below.

Payment Terms

Client agrees to pay Service Provider the fees set forth below in exchange for the services and deliverables described above. All fees are exclusive of applicable taxes and reimbursable third-party expenses unless otherwise stated in writing.

Invoices are payable within the number of days set forth in the Payment Schedule. Client shall reimburse Service Provider for reasonable third-party expenses incurred in the course of performance, subject to prior written approval for any single expense exceeding the amount specified in the Schedule.

Term and Termination

This Request commences on the start date and continues until the end date or until earlier termination in accordance with the provisions below.

Either party may terminate for convenience upon providing the notice period set forth above. Termination for material breach may be effective immediately if the breaching party fails to cure within a commercially reasonable period after written notice. Upon termination Client shall pay for services performed and non‑cancellable obligations incurred through the effective date of termination.

Confidentiality

Each party shall maintain in confidence all Confidential Information disclosed by the other party in connection with this Request. "Confidential Information" includes respondent-level records, personally identifiable information, proprietary methodologies, and non-public business information. Confidential Information does not include information that is demonstrably in the public domain other than by breach of this Request, that was already known by the receiving party without restriction, or that is independently developed without use of the disclosing party’s Confidential Information.

If a party is compelled by law to disclose Confidential Information, it shall give prompt notice to the other party and cooperate to seek protective measures. Aggregate results that do not identify individual respondents may be used by Service Provider for internal purposes unless otherwise restricted in writing.

Governing Law

This Request shall be governed by and construed in accordance with the laws of the jurisdiction set forth below, without regard to conflict of law rules. The parties submit to the exclusive jurisdiction of the courts in that jurisdiction for any dispute arising out of this Request.

Entire Agreement

This Request, together with any attachments or written amendments executed by authorized representatives of both parties, constitutes the entire agreement between the parties relating to the subject matter hereof and supersedes all prior proposals, negotiations and understandings. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

Data Use and Ownership

Unless otherwise agreed in writing, Client owns the original respondent-level data collected under this Request. Service Provider may retain copies for archival and quality control purposes but shall not disclose raw respondent-level data to third parties except as required by law or as authorized by Client. Service Provider retains ownership of proprietary analytical methods, tools and templates used in performing the services.
