CLIENT TESTIMONIAL RELEASE AND USE AGREEMENT

Parties

Recitals

WHEREAS, the Service Provider has provided services to Client consisting of (the "Services"); and

WHEREAS, Client desires to provide a testimonial describing Client's experience with the Services and to grant Provider rights to use that testimonial for promotional and marketing purposes; and

WHEREAS, Provider desires to obtain the right to use Client's testimonial under the terms and conditions set forth in this Agreement.

Scope of Testimonial and Uses

Client hereby provides the following testimonial content and authorizes Provider to record, reproduce, edit and use the content as set forth below.

Payment Terms

As consideration for the testimonial rights granted herein, Provider agrees to pay Client the following fee and on the following schedule.

Payment is due in accordance with the Payment Schedule above. Any undisputed amounts not paid when due shall incur the Late Fee and interest to the maximum extent permitted by law. Provider's obligation to pay is conditioned on receipt of the Testimonial Content in a commercially usable form.

Term and Termination

This Agreement becomes effective on the Effective Date and continues for the Term below unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure within the Notice Period after receipt of written notice. Termination does not retroactively revoke rights already granted to Provider for uses occurring prior to termination.

Confidentiality; Reserved Information

Client represents that the Testimonial Content does not include proprietary or confidential information of any third party, except as expressly identified below. Client may designate portions of the Testimonial Content as confidential by marking them and listing them in the field below. Provider shall not use or disclose designated confidential portions except as necessary to perform obligations under this Agreement or as required by law.

Release, Rights Granted, and Warranties

Client hereby irrevocably grants to Provider, its affiliates, licensees and successors a worldwide, perpetual, royalty-free, transferable, sublicensable right and license to reproduce, distribute, display, publish, modify and otherwise use the Testimonial Content and Client's name, likeness and title in any media now known or hereafter developed for advertising, promotional and commercial purposes.

Client warrants that (a) Client is the author and sole owner of the Testimonial Content or has obtained all necessary rights and permissions to grant the rights herein; (b) the Testimonial Content does not infringe the intellectual property or privacy rights of any third party; and (c) Client has authority to execute this Agreement. Client releases Provider from any claims, causes of action or demands arising out of Provider's authorized use of the Testimonial Content.

Indemnification

Client shall indemnify, defend and hold harmless Provider and its officers, employees and agents from and against any and all claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of or related to Client's breach of any representation, warranty or obligation under this Agreement, including claims that the Testimonial Content infringes a third party's rights.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of laws principles.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment must be in writing and signed by both parties.

Acknowledgement

By signing below, Client acknowledges that Client has read this Agreement, understands its terms and agrees that the rights granted herein are fair and reasonable consideration for the Compensation (if any) and other obligations of Provider.
