Payment due within days of invoice. Late payment will incur a late fee of and interest at the lesser of 1.5% per month or the maximum permitted by applicable law. Nonpayment is a material breach and may result in suspension of future services and recovery of collection costs, including reasonable attorneys' fees.

Either party may terminate this Agreement for convenience upon providing days' prior written notice. Either party may terminate immediately for material breach that is not cured within a commercially reasonable cure period, or for safety reasons where continuation of the tour would present an imminent hazard.

Confidentiality

The parties acknowledge that certain information disclosed in the course of the tour may be proprietary or confidential. Each party agrees to treat such information as confidential, to use it solely for the purposes of evaluating or conducting the tour, and not to disclose it to third parties without prior written consent, except as required by law. Confidential information does not include information that is or becomes publicly available through no breach of this Agreement, that was lawfully known to the receiving party prior to disclosure, or that is independently developed without use of the disclosing party's confidential information.

Liability and Indemnity

Client agrees to comply with all safety rules and directions provided by the Company and its representatives. Client assumes responsibility for the conduct of its participants. To the fullest extent permitted by law, Client shall indemnify, defend and hold harmless the Company, its officers, employees and agents from and against all claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising from Client's breach of this Agreement or the acts or omissions of Client or Client's participants during the tour. Company shall maintain customary general liability insurance as required by its internal policies.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

Entire Agreement

This Agreement, together with any written attachments executed by the parties and the scope of work described above, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment or modification must be in writing and signed by both parties.
