This Client Trial Form ("Agreement") is entered into between Client Name: and Provider Name: .

WHEREAS

WHEREAS, Provider develops, licenses, or supplies the product(s) and/or service(s) described in this Agreement for evaluation purposes (the "Trial Services"); and

WHEREAS, Client desires to receive a limited trial of the Trial Services under the terms and conditions set forth below for the purpose of evaluating suitability for a commercial deployment; and

WHEREAS, Provider is willing to provide such Trial Services to Client on the terms contained herein.

Provider shall make available to Client, on a non-production basis, the Trial Services described below for the sole purpose of evaluation. The scope of the trial engagement, deliverables, milestones, and any specific configuration or acceptance criteria must be documented in the field below.

All fees due under this Agreement are payable in United States currency unless otherwise agreed in writing. If payment is not received within the period specified on the invoice, Provider may suspend Trial Services after providing notice.

Either party may terminate this Agreement for convenience by providing written notice to the other party no fewer than days prior to termination. Termination for cause shall be effective immediately upon written notice if the non‑breaching party provides a thirty (30) day opportunity to cure and the breach remains uncured.

CONFIDENTIALITY

The parties agree that all non-public information disclosed in connection with the Trial Services, including technical, business, and pricing information, shall be treated as Confidential Information. Confidential Information shall not be disclosed to third parties and shall be used solely for the evaluation permitted by this Agreement.

Exceptions: Information shall not be considered confidential to the extent it is (a) already in the receiving party's possession without restriction, (b) becomes public through no fault of the receiving party, or (c) is independently developed by the receiving party without use of the disclosing party's Confidential Information.

LIMITATIONS, WARRANTIES AND LIABILITY

Provider warrants that it will provide the Trial Services with reasonable skill and care consistent with industry standards. EXCEPT AS EXPRESSLY STATED IN THIS AGREEMENT, THE TRIAL SERVICES ARE PROVIDED "AS IS" AND PROVIDER DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS OR IMPLIED.

In no event shall either party be liable for incidental, consequential, special or punitive damages arising out of or related to this Agreement. The parties' aggregate liability for direct damages arising under this Agreement shall not exceed the aggregate fees paid by Client to Provider under this Agreement.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of , without regard to principles of conflicts of law.

ENTIRE AGREEMENT

This Agreement, together with any exhibits or attachments executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, negotiations and communications, whether written or oral. Any modification must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

Neither party may assign this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or in connection with a merger or sale of substantially all its assets. Notices under this Agreement shall be in writing and delivered to the addresses provided above.
