RECITALS

WHEREAS, Client engages Trustee to hold certain funds and assets in trust for the limited purpose described herein and to administer such funds in accordance with the terms and conditions of this Client Trust Declaration (the "Declaration"); and

WHEREAS, Trustee has represented that it has the requisite authority, fiduciary capacity and separate trust account controls necessary to receive, safeguard and disburse entrusted funds in accordance with applicable professional and statutory obligations; and

WHEREAS, the parties wish to set forth their respective duties, rights and procedures regarding receipt, holding and disbursement of Client funds held in trust under this Declaration.

SCOPE OF WORK

The Trustee shall hold Client funds in a fiduciary capacity only for the specific purpose(s) described below. Trustee shall not commingle trust funds with Trustee's operating funds and shall maintain separate accounting records for all receipts and disbursements attributable to Client.

PAYMENT TERMS

Client will transfer funds to Trustee in accordance with the schedule below. Trustee's acceptance of funds is limited to the amounts and purposes expressly set forth herein.

DISBURSEMENT AND AUTHORITY

Trustee shall only disburse funds from the trust account upon (a) joint written instruction of Client and Trustee; (b) written confirmation that the disbursement is for an authorized purpose stated in this Declaration; or (c) as otherwise required by law. Trustee shall obtain a signed release or an invoice evidencing the purpose and amount for each disbursement and shall retain such documentation in its trust records.

TERM AND TERMINATION

This Declaration is effective as of the Effective Date set forth below and shall continue until the earlier of the completion of the Purpose, exhaustion of funds held in trust, or termination in accordance with this paragraph.

Upon termination, Trustee shall promptly notify Client in writing, finalize accountings, disburse remaining trust funds in accordance with the terms hereof, and provide a final accounting to Client.

CONFIDENTIALITY

Each party shall treat as confidential all non-public information concerning the other party's affairs obtained in connection with this Declaration. Trustee may disclose confidential information only as reasonably necessary to perform its duties, to comply with legal process, or as otherwise required by law. The confidentiality obligations shall survive termination of this Declaration for a period of five (5) years, except as otherwise required by law.

RECORDS, AUDIT AND LIABILITY

Trustee shall maintain complete and accurate records of all trust account activity, including receipts, disbursements and supporting documentation. Client shall have the right to request an accounting and to inspect trust records upon reasonable prior written notice. Trustee's liability to Client for breach of this Declaration shall be limited to direct damages proven and shall not include consequential or punitive damages except in cases of willful misconduct or gross negligence.

GOVERNING LAW

This Declaration shall be governed by and construed in accordance with the laws of the state identified below, without regard to that state's conflict of laws principles.

ENTIRE AGREEMENT

This Declaration, together with any written exhibits or schedules signed by the parties, constitutes the entire agreement between Client and Trustee with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and representations, whether written or oral. No modification of this Declaration will be effective unless in writing and signed by both parties.

MISCELLANEOUS PROVISIONS

If any provision of this Declaration is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Notices under this Declaration shall be in writing and delivered as set forth in the contact information above or such other address as either party may designate in writing.
