Recitals

WHEREAS, Client Name: desires to engage the services of Service Provider: to perform the work described below; and

WHEREAS, Service Provider represents that it has the professional capability, personnel, and resources to perform the work in a timely and workmanlike manner consistent with industry standards; and

Scope of Work

The Service Provider shall perform the work and deliver the materials as described below. Deliverables, milestones, acceptance criteria, and specific responsibilities shall be described in detail and attached as exhibits or listed here.

Payment Terms

Client shall pay Service Provider for all services performed in accordance with this Coversheet. All fees are exclusive of taxes unless otherwise stated. Payment shall be made in U.S. dollars pursuant to the schedule below.

All undisputed invoices are due within the period identified in the invoice frequency or within thirty (30) days if no period is specified. Undisputed amounts not paid when due shall accrue the agreed late fee and the Client shall be responsible for reasonable collection costs and attorney fees incurred to collect past-due amounts.

Term and Termination

This Coversheet shall commence on Start Date: and shall continue in effect until End Date: unless earlier terminated in accordance with this section.

Either party may terminate this Coversheet for convenience upon written notice to the other party given no less than Notice Period (days): days prior to the effective termination date. Either party may terminate immediately for material breach if the breaching party fails to cure such breach within thirty (30) days after receipt of written notice of the breach.

Termination shall not relieve Client of the obligation to pay for services performed and expenses incurred through the effective date of termination, nor shall it relieve either party of obligations that by their nature survive termination, including confidentiality and indemnity obligations.

Confidentiality

Each party acknowledges that, in performance of this Coversheet, it may receive Confidential Information of the other. "Confidential Information" means non-public technical, business, financial, pricing, or other proprietary information disclosed in writing, orally, or by inspection that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure.

Each party shall (a) hold the other's Confidential Information in strict confidence and not disclose it to any third party except as expressly permitted herein, (b) use the other's Confidential Information only for the purposes of performing obligations under this Coversheet, and (c) limit access to the other's Confidential Information to employees, contractors, and advisers who have a need to know and who are bound by confidentiality obligations no less protective than those set forth herein.

Governing Law and Entire Agreement

This Coversheet shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that State for resolution of disputes arising out of this Coversheet.

This Coversheet, together with any exhibits and attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. Any amendment or modification to this Coversheet must be in writing and executed by authorized representatives of both parties.

Additional Provisions

Neither party shall assign or transfer any of its rights or obligations under this Coversheet without the prior written consent of the other party, except that either party may assign this Coversheet in connection with a merger, acquisition, or sale of substantially all of its assets. Notices required under this Coversheet shall be in writing and delivered to the addresses provided on the coversheet metadata or such other address as a party may designate by written notice.
