Each party agrees to protect Confidential Information of the other party with at least the same degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Confidential Information does not include information that is or becomes publicly available through no breach by the receiving party, is independently developed without use of the other party's Confidential Information, or is rightfully received from a third party without confidentiality obligations.

GOVERNING LAW

This Client Update Form and any dispute arising out of or related to it shall be governed by the laws of the state chosen by the parties. The parties submit to the exclusive jurisdiction of the courts of that state, subject to any contrary provision in a controlling agreement.

ENTIRE AGREEMENT

This Client Update Form, together with any controlling services agreement between the parties, constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior or contemporaneous written or oral communications concerning the same, except that terms of the controlling services agreement shall remain in force except to the extent explicitly modified by this document.
