Recitals

WHEREAS, Service Provider: is engaged in the business of providing professional services and/or deliverables to clients; and

WHEREAS, Client Name: (the "Client") desires to receive and acknowledge terms for use, access, or reproduction of materials, data, and services provided by the Service Provider; and

WHEREAS, the parties intend to set forth in this written acknowledgement the scope of permitted use, payment terms, confidentiality obligations, and the parties' respective rights and remedies.

Scope of Work / Permitted Uses

The parties agree that materials, deliverables, data, and services provided by the Service Provider to the Client shall be used as set forth below. Client acknowledges that permitted uses are limited to those expressly granted in this acknowledgement and in any underlying agreement between the parties.

Payment Terms

Client shall pay Service Provider the fees for the services and deliverables described above as follows.

Term and Termination

This Acknowledgement is effective as of the Effective Date below and shall continue in effect until the End Date below unless earlier terminated pursuant to the provisions herein.

Either party may terminate this Acknowledgement upon material breach by the other party that remains uncured for the notice period specified above. Termination shall not relieve Client of its obligation to pay for services rendered or costs incurred prior to termination.

Confidentiality

"Confidential Information" means non-public information disclosed by either party to the other that is designated as confidential or that, by its nature, is reasonably understood to be confidential. Each party shall (a) use Confidential Information solely for the purposes authorized by this Acknowledgement, (b) restrict disclosure to employees, contractors, or agents with a need to know, and (c) use at least reasonable care to protect such Confidential Information.

Confidential Information does not include information that: (i) is or becomes generally available to the public through no breach of this Acknowledgement; (ii) was rightfully in possession of the receiving party without restriction prior to disclosure; (iii) is received from a third party without breach of any obligation of confidentiality; or (iv) is independently developed without use of the other party's Confidential Information.

Use of Client Name and Testimonials

Client hereby authorizes Service Provider to reference the Client's name and logo in Service Provider's marketing materials and case studies only if Client has checked the consent box below. Any published testimonial text or case study content will be subject to Client's prior written approval, which shall not be unreasonably withheld.

Representations and Acknowledgments

Each party represents that it has full authority to enter into this Acknowledgement and that execution and performance will not violate any other agreement to which it is a party. Client acknowledges that use of deliverables beyond the scope identified in this document may require additional licensing or fees.

Governing Law; Dispute Resolution

This Acknowledgement shall be governed by and construed in accordance with the laws of the state specified below, without regard to conflict of law principles. The parties shall attempt in good faith to resolve disputes promptly through negotiation; if unresolved, disputes shall be resolved in the state and federal courts located in the county specified below.

Entire Agreement

This Acknowledgement (together with any attachments and referenced documents) constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written. Any amendment to this Acknowledgement must be in writing and signed by authorized representatives of both parties.
