CLIENT VERIFICATION FORM AND SERVICES AGREEMENT

This Client Verification Form and Services Agreement (the Agreement) is entered into as of by and between the parties identified below.

RECITALS

WHEREAS, Service Provider is engaged in the business of providing the services described in this Agreement and possesses the professional capability and resources to perform those services; and

WHEREAS, Client desires to retain Service Provider to perform the services described herein and to permit Service Provider to verify Client identity and related information to satisfy contractual and regulatory obligations; and

WHEREAS, the parties wish to set forth in writing their respective responsibilities, the scope of services, payment terms, confidentiality commitments and other material terms governing their relationship.

SCOPE OF WORK

PAYMENT TERMS

If any payment is overdue beyond days, Client shall pay interest at the lesser of or the maximum rate permitted by applicable law.

TERM AND TERMINATION

The term of this Agreement shall commence on and shall continue until unless earlier terminated in accordance with this Agreement. Either party may terminate for convenience upon days' written notice to the other party. Termination for cause may be effected immediately for material breach that is not cured within a commercially reasonable period.

CONFIDENTIALITY

Each party shall keep confidential and shall not disclose to any third party any non-public information received from the other party in connection with this Agreement, except as required by law or as necessary to perform the services. Confidential information shall include, without limitation, business plans, financial information, personally identifiable information, and trade secrets. The obligations of confidentiality shall survive termination of this Agreement for a period of three (3) years.

Client further agrees to indemnify and hold harmless Service Provider from any claims, losses or liabilities arising from Client's misrepresentations or failure to disclose material information provided to Service Provider.
