THIS AGREEMENT is entered into by the parties identified below as of the Effective Date set forth herein. Either Party may terminate for material breach upon written notice and a thirty (30) day opportunity to cure, provided that any non‑cured breach permits immediate termination. Either Party may also terminate for convenience upon days' prior written notice. Termination shall not relieve the Client of payment obligations for work performed and accepted through the effective date of termination.

Confidentiality

Each Party shall maintain the confidentiality of Confidential Information received from the other Party and shall not disclose such information except to employees, contractors, or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those set forth here. "Confidential Information" excludes information that is or becomes public other than by breach, that is independently developed without use of the other Party's Confidential Information, or that is rightfully received from a third party without restriction. The obligations in this clause shall survive termination of the Agreement for a period of three (3) years.

Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the substantive laws of the governing jurisdiction selected by the Parties. The Parties agree to submit to the exclusive jurisdiction of the courts located in that jurisdiction for disputes arising hereunder.

This Questionnaire, together with any executed Statement of Work and related schedules, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior discussions, representations, and agreements, whether written or oral. No amendment shall be effective unless in writing and signed by authorized representatives of both Parties.
