Either party may terminate this Agreement upon days' prior written notice to the other party. Termination shall not relieve either party of obligations accrued prior to the effective date of termination.

CONFIDENTIALITY

Each party shall protect Confidential Information of the other party using at least the same degree of care it uses to protect its own confidential information, but no less than a reasonable degree of care. "Confidential Information" includes non-public business information, technical data, and pricing provided in connection with feedback, but excludes information that is (a) already publicly known through no breach of this Agreement, (b) rightfully received from a third party without restriction, (c) independently developed without use of the other party's Confidential Information, or (d) required to be disclosed by law.

CONSENT TO USE OF FEEDBACK

Company may use written feedback or short quotations for marketing and promotional purposes (attribution as agreed).

Company may record, reproduce, and use audio or video of Client's feedback for promotional use, subject to the further limitations noted below.

Company may use feedback in anonymized form (no identifying information) for research, reports, and case studies.

The Client represents and warrants that any testimonial or feedback provided is the Client's original work, does not infringe third-party rights, and that Client has the authority to grant the rights set forth herein. Client grants the Company a perpetual, worldwide, royalty-free, transferable license to use, reproduce, distribute, and display the feedback as permitted by the consents selected above.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to its conflicts of law principles.

ENTIRE AGREEMENT; SEVERABILITY

This Agreement, together with any attached statements of work or schedules expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings. If any provision of this Agreement is held unenforceable, the remaining provisions shall remain in full force and effect.
