WHEREAS, Client has requested that Service Provider perform an on-site walkthrough and prepare a written report of observed conditions, deficiencies and recommended actions; and

WHEREAS, Service Provider is willing to perform the walkthrough and deliver a report and consulting services under the terms set forth in this agreement and the attached findings;

INSPECTION SUMMARY

PAYMENT TERMS

All invoices are due in accordance with the Payment Schedule. Late payments shall accrue the Late Payment Fee stated above and Client will be responsible for reasonable collection and attorney fees incurred by Service Provider in enforcing payment obligations.

TERM AND TERMINATION

Either party may terminate this Agreement for material breach by the other party that remains uncured after the Notice Period specified above. Termination for convenience requires written notice in accordance with the Notice Period. Upon termination, Client shall pay Service Provider for all work performed and all non‑cancellable commitments made prior to the effective date of termination.

CONFIDENTIALITY

Each party shall hold in confidence all Confidential Information received from the other party and shall not disclose such information to any third party except as required by law or to employees, agents or subcontractors who have a need to know and are bound by confidentiality obligations at least as protective as those set forth herein. Confidential Information does not include information that is or becomes publicly available through no fault of the receiving party, is independently developed by the receiving party without use of Confidential Information, or is rightfully obtained from a third party without confidentiality obligation.

LIMITATIONS OF LIABILITY

Service Provider shall perform services consistent with industry standards. Except to the extent prohibited by law, Service Provider's aggregate liability for any claim arising out of or related to this Agreement shall be limited to the total fees paid by Client to Service Provider under this Agreement. In no event shall Service Provider be liable for consequential, incidental, special or punitive damages.

GOVERNING LAW

This Agreement and the Client Walkthrough Report shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

ENTIRE AGREEMENT

This document, together with any attachments, exhibits and referenced scopes, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior or contemporaneous understandings, agreements, negotiations and discussions, whether oral or written. Any amendment must be in writing and signed by authorized representatives of both parties.
