RECITALS

WHEREAS, Client desires to retain Service Provider to perform the services described in this Welcome Pack and associated Scope of Work for the Project identified above; and

WHEREAS, Service Provider has represented that it possesses the experience, personnel, and ability to provide such services on the terms set forth below; and

WHEREAS, the parties wish to set forth the initial engagement terms, onboarding information, and mutual obligations to commence the engagement.

PAYMENT TERMS

Invoices are due within days of receipt. Unless otherwise stated, fees are exclusive of taxes and expenses reasonably incurred and agreed in writing.

Late payments shall accrue interest at a rate of on the outstanding balance, compounded monthly, plus reasonable collection costs.

TERM AND TERMINATION

This engagement commences on and will continue until unless earlier terminated in accordance with this section.

Either party may terminate for convenience upon days' prior written notice. Either party may terminate immediately for material breach that remains uncured for a period of days following written notice of such breach.

CONFIDENTIALITY

"Confidential Information" means non-public information disclosed by one party to the other, whether oral, written, electronic, or observed, that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information. Each party agrees to: (a) use Confidential Information solely for performance of this Agreement; (b) restrict disclosure to employees, contractors, or agents with a need to know and who are bound by confidentiality obligations at least as protective as those herein; and (c) exercise at least the same degree of care to protect Confidential Information as it uses for its own confidential information, but no less than reasonable care.

Confidential Information does not include information that is: (i) publicly known through no breach by the receiving party; (ii) rightfully received from a third party without restriction; (iii) independently developed without use of the disclosing party's Confidential Information; or (iv) required to be disclosed by law, provided the receiving party gives prompt notice and cooperates with reasonable protective measures.

These confidentiality obligations shall survive termination of this engagement for a period of unless a longer period is required by applicable law.

GOVERNING LAW

This Welcome Pack and any dispute arising out of or related to it shall be governed by and construed in accordance with the laws of the state of , without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Welcome Pack, together with any attached Scope of Work and written change orders executed by authorized representatives of both parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and communications, whether written or oral. No amendment shall be effective unless in writing and signed by both parties.
