Recitals

WHEREAS, the Client desires to record and communicate specific wishes, preferences, project goals and acceptable parameters for the provision of services described below; and

WHEREAS, the Service Provider has the experience, capacity and authority to consider and implement the Client's wishes in the course of performing agreed services; and

WHEREAS, the parties intend for this document to serve as a binding record of the Client's stated wishes to be incorporated into the project plan and relied upon by the Service Provider to the extent set forth below.

Scope of Work

The Service Provider shall consider and, where operationally feasible and consistent with applicable law and agreed budget, implement the Client's wishes described in the scope below. The Client's wishes shall guide priorities, deliverables and performance standards as set forth in this section.

Payment Terms

The Client agrees to compensate the Service Provider for services performed in accordance with the Client's wishes as follows.

Late payments shall incur a late fee equal to per month on outstanding balances, or a flat fee of , at the Service Provider's option.

Term and Termination

This Agreement shall commence on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate for convenience upon providing written notice no fewer than days in advance. Termination for cause may occur immediately upon material breach that is not cured within 14 days of written notice.

Confidentiality

Each party shall maintain in confidence and not disclose any non-public information that is designated confidential or that, by its nature, should reasonably be understood to be confidential ("Confidential Information"). The receiving party shall use Confidential Information only for the performance of obligations under this Agreement and shall protect it with at least the same degree of care it uses for its own confidential information, but no less than reasonable care.

Governing Law

No modification, amendment or waiver shall be effective unless in writing and signed by both parties.
