WHEREAS, Provider represents that it has the skill, personnel and resources necessary to perform the requested services and deliverables in accordance with the terms set forth in this Agreement and the attached Wishlist items; and

WHEREAS, the parties desire to set forth their understandings concerning the scope, schedule, compensation and confidentiality of work to be performed beginning effective as of .

Scope of Work

The Provider shall perform the tasks, produce the deliverables and meet the milestones described in the Wishlist items above and any accompanying exhibits. The Scope is limited to the services expressly described and any material changes shall be addressed by written change order executed by both parties.

Payment Terms

Compensation for the services described herein shall be set forth as follows. All monetary amounts are in the currency agreed by the parties and payable pursuant to the schedule below.

If payment is more than thirty (30) days past due, Provider may suspend performance and shall be entitled to collect reasonable collection costs, including attorneys' fees, as permitted by law.

Term and Termination

This Agreement shall commence on the Start Date and continue in effect until the Completion Date unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach by the other party if the breach remains uncured for a period of days after written notice. The Client may terminate for convenience upon days' prior written notice, subject to payment for work performed through the effective date of termination and any non-cancellable commitments.

Confidentiality

Each party acknowledges that in the course of performance it may receive Confidential Information of the other party. "Confidential Information" means non-public business, technical or financial information disclosed in any form. The receiving party shall (a) hold such information in strict confidence, (b) not disclose it to any third party except as required for performance, and (c) use it only for the purposes of performing under this Agreement.

Confidentiality obligations shall survive termination for a period of years except for trade secrets, which shall be protected to the fullest extent permitted by law.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflicts of law principles. Entire Agreement; Amendments

This Agreement, together with any exhibits and the Client Wishlist contained herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements. Any amendment must be in writing and signed by authorized representatives of both parties.

Representations; Compliance

Each party represents and warrants that it has the full corporate or individual power and authority to enter into this Agreement and to perform its obligations hereunder, and that performance will comply with applicable laws, regulations and third-party agreements.
