Recitals

WHEREAS, Proposer is engaged in the development, deployment, and integration of climate technology solutions, including but not limited to renewable energy systems, emissions monitoring, and energy management platforms; and

WHEREAS, Client desires to procure the services and deliverables described in this Proposal to advance Client's climate objectives and reduce greenhouse gas emissions in accordance with the Scope of Work below; and

WHEREAS, the parties intend that upon execution of this Proposal it shall constitute a binding agreement governing the obligations between them.

Scope of Work

Proposer shall perform the services and deliver the goods set forth below. Deliverables shall meet the acceptance criteria specified in this Section.

Acceptance: Client will have a period of days from delivery of each deliverable to raise acceptance objections in writing. Failure to timely object constitutes acceptance.

Late Payment: Unpaid amounts shall accrue interest at or the maximum rate permitted by law, whichever is less. Client will also reimburse costs of collection, including reasonable attorneys' fees.

Either party may terminate this Proposal for material breach by the other party if the breaching party fails to cure the breach within days after written notice. Either party may terminate for convenience upon days prior written notice. Termination shall not relieve Client of obligation to pay for services performed and expenses incurred through the effective date of termination.

Confidentiality

Definition: "Confidential Information" means non-public technical, business, financial, and operational information disclosed by one party to the other in connection with this Proposal that is designated as confidential or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

Obligations: Receiving party shall (i) use Confidential Information solely to perform obligations under this Proposal; (ii) protect Confidential Information with at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care; and (iii) restrict disclosure to those employees, contractors, or advisors with a need to know and who are bound by confidentiality obligations no less protective than those herein.

Exclusions: Confidential Information does not include information that (a) is or becomes publicly available through no fault of the receiving party; (b) is rightfully received from a third party without restriction; (c) is independently developed without use of the disclosing party's Confidential Information; or (d) is required to be disclosed by applicable law or court order, provided the receiving party gives prompt written notice and cooperates with reasonable protective measures.

Duration: The obligations in this Confidentiality section shall remain in effect for years from the date of disclosure.

Representations, Warranties & Limitation

Proposer represents that it has the experience and capability to perform the services described in this Proposal. EXCEPT AS EXPRESSLY PROVIDED IN THIS PROPOSAL, THE SERVICES ARE PROVIDED "AS IS" AND PROPOSER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Proposer's aggregate liability for claims arising under this Proposal shall not exceed the total fees paid by Client to Proposer under this Proposal.

Governing Law

This Proposal shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

Entire Agreement

This Proposal, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals, and understandings, whether written or oral. Any amendment must be in writing and signed by authorized representatives of both parties.
