CLOSET ORGANIZATION AGREEMENT

This Closet Organization Agreement ("Agreement") is entered into as of Agreement Date: by and between Service Provider: , Contact Name: , with business address (hereinafter "Provider"), and Client Name: , Client address (hereinafter "Client").

WHEREAS

WHEREAS, Provider is engaged in the business of designing, installing and organizing closet systems, shelving, and accessory placement and possesses the skills, personnel and equipment necessary to perform such work; and

WHEREAS, Client desires to retain Provider to perform closet organization services for the premises identified above, subject to the terms, conditions and compensation set forth in this Agreement.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:

SCOPE OF WORK

Provider shall perform the services described above in a professional and workmanlike manner in accordance with industry standards. Provider shall provide labor and, if indicated below, materials necessary to complete the work unless otherwise agreed in writing.

PAYMENT TERMS

Balance due on completion unless otherwise agreed. If a different schedule applies, describe payment schedule below.

Any undisputed amount not paid within days of the due date shall incur a late fee of % per month, or the maximum allowed by law, applied to the overdue balance.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Provider may suspend work if Client fails to make timely payments or otherwise breaches material obligations; Provider's suspension shall not relieve Client of its payment obligations.

Termination for cause for material breach will be effective if the breaching party fails to cure within 10 days after receipt of written notice specifying the breach. Upon termination, Client shall pay Provider for all work performed and materials purchased up to the effective termination date, plus reasonable demobilization costs.

CONFIDENTIALITY

Provider acknowledges that Provider may encounter Client's personal items, organizational preferences and private information in the course of performing services. Provider shall not disclose, copy or use any confidential information observed or obtained in connection with the services except as reasonably necessary to perform the services under this Agreement or as required by law.

WARRANTIES, INSURANCE AND LIMITATION OF LIABILITY

Provider warrants that services will be provided in a professional manner consistent with industry standards for a period of 30 days from completion with respect to performed workmanship. Provider makes no warranty as to the preservation of existing items or the performance of products manufactured by third parties, except to the extent expressly stated in writing.

Provider shall maintain general liability insurance and, where applicable, workers' compensation coverage. Client is responsible for removing or securing fragile or high-value items prior to work. Provider's liability for any claim arising out of or relating to this Agreement shall be limited to direct damages not to exceed the total contract price paid by Client; in no event shall Provider be liable for incidental, consequential or punitive damages.

ACCESS, SITE CONDITIONS AND CLIENT RESPONSIBILITIES

Client shall provide Provider with safe, reasonable access to the premises during scheduled work hours, including electricity and a work area. Client warrants that the workspace is free from hazardous conditions. Any delays or additional costs arising from Client's failure to provide access or suitable site conditions shall entitle Provider to equitable adjustments to the schedule and compensation.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including any attachments or written change orders executed by the parties, constitutes the entire agreement between Provider and Client regarding the subject matter hereof and supersedes all prior and contemporaneous agreements, representations and understandings, whether oral or written. No amendment to this Agreement shall be effective unless in writing and signed by both parties.

MISCELLANEOUS

If any provision of this Agreement is held invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect. Notices required under this Agreement shall be in writing and delivered to the addresses provided above or other address designated in writing.
