Representations, Default, and Remedies

Each party represents and warrants that it has full authority to enter into this Addendum. Failure by either party to comply with this Addendum shall constitute a breach of the Purchase Agreement and entitle the non-breaching party to all remedies available under the Purchase Agreement and at law or equity, including specific performance, damages, and recovery of reasonable attorneys’ fees and costs incurred in enforcing this Addendum where authorized by contract or law.

Each party shall indemnify, defend and hold harmless the other party and Escrow/Closing Agent from any claim, loss or liability arising from its failure to disclose or pay charges for which it is responsible under this Addendum, except to the extent caused by the other party’s breach or negligence.
