Default, Remedies and Costs

Upon any Event of Default, the Lender may, at its election and without further notice to the Borrower except as specified in the governing loan documents, accelerate all amounts due and invoke all remedies available at law and in equity, including foreclosure or enforcement of security interests. The Borrower agrees to pay all reasonable costs and expenses incurred by the Lender in enforcing its rights, including attorneys' fees, collection costs and court costs.

Tax, Reporting and Withholding

Each party shall comply with all applicable tax withholding and reporting obligations. The Borrower shall provide any certifications reasonably requested by the Lender to permit the Lender to determine whether withholding is required. To the extent any taxes are required to be withheld, such amounts may be deducted from funds otherwise due at closing.

Escrow and Holdback Instructions

Any escrowed funds shall be held and disbursed by the named Escrow Agent in accordance with written escrow instructions executed contemporaneously with this Closing Package. No release of escrowed funds shall occur except upon satisfaction of the conditions specified in the escrow instructions or by written agreement of the parties.
