SCOPE OF WORK

Service Provider shall provide cloud backup services for Client's electronic data as described below. The parties acknowledge that specific systems, file paths, and data classes to be backed up will be identified and may be adjusted by mutual written instruction.

SECURITY AND DATA HANDLING

Service Provider will implement commercially reasonable administrative, physical and technical safeguards to protect Client Data, including encryption of data in transit and at rest using industry-standard algorithms. Service Provider will restrict access to Client Data to authorized personnel and will use authentication and logging mechanisms to record access and administrative actions.

Client retains all right, title and interest in and to Client Data. Service Provider shall not use Client Data for any purpose other than performing the Services under this Agreement and shall, upon termination, return or securely delete Client Data as directed by Client consistent with the retention_policy.

RESTORES AND SERVICE LEVELS

PAYMENT TERMS

Client shall pay Service Provider the fees set forth below for Services rendered under this Agreement.

The obligations of confidentiality shall survive termination or expiration of this Agreement for a period of three (3) years, except for Client Data which shall remain protected until returned or destroyed as provided above.

LIMITATION OF LIABILITY; INDEMNIFICATION

Except for liability arising from willful misconduct or gross negligence, each party's aggregate liability for any claim arising out of or related to this Agreement shall be limited to direct damages not to exceed the total fees paid by Client to Service Provider under this Agreement in the twelve (12) months preceding the claim. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR SPECIAL, INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS OR BUSINESS INTERRUPTION.

Client shall indemnify, defend and hold harmless Service Provider from any third-party claims arising from Client's use of the Services in violation of applicable law or third-party rights, except to the extent caused by Service Provider's breach of this Agreement or gross negligence.

FORCE MAJEURE

Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including acts of God, governmental action, natural disaster, strikes, or failure of third-party network providers. The affected party shall provide prompt notice to the other party and resume performance as soon as reasonably practicable.

What a Cloud Backup Agreement Covers

A Cloud Backup Agreement is a written contract that defines the terms under which a provider stores, maintains, and restores a customer's backup data in the cloud. It allocates responsibilities for data security, encryption, retention, access, incident response, and service levels, and sets liability limits and indemnities. The agreement typically covers backup frequency, geographic storage locations, data ownership, recovery time objectives (RTO) and recovery point objectives (RPO), and compliance obligations such as HIPAA or industry-specific rules. Use it to document expectations, reduce operational risk, and establish remediation and termination procedures.

Why a Clear Agreement Matters

A Cloud Backup Agreement clarifies service levels, allocates legal risk, and documents compliance responsibilities under ESIGN, HIPAA, and state law. It helps prevent disputes over data access, retention, breach notification, and recovery obligations.

Why a Clear Agreement Matters

Who Typically Completes This Agreement

Typical parties who complete a Cloud Backup Agreement include IT managers, service providers, legal counsel, and compliance officers.

  • IT and operations teams — define RTO, RPO, retention schedules, and restore testing responsibilities.
  • Legal and procurement — negotiate liability caps, indemnities, and service-level credits.
  • Compliance officers — confirm regulatory controls, breach notification timelines, and data residency.

Use clear signatory authority and involve technical and legal stakeholders to ensure enforceable obligations and realistic recovery SLAs.

Core Sections to Include in a Professional Agreement

Core sections of a Cloud Backup Agreement outline service scope, security controls, performance metrics, data handling, compliance obligations, and termination and liability provisions.

Service Scope

Define backup types, frequency, retention schedules, geographic storage regions, supported platforms, and responsibilities for restore testing. Specify whether backups include full images, incremental deltas, or application-aware snapshots.

Security & Encryption

State encryption requirements in transit (TLS 1.2/1.3) and at rest (AES-256), key management responsibilities, access controls, and authentication methods such as MFA or SSO for administrative access.

Performance SLA

Include recovery time objective (RTO) and recovery point objective (RPO) targets, uptime commitments, support response times, remedies for missed SLAs, and measurement and reporting methods.

Compliance

Identify applicable laws and standards (HIPAA, SOC 2, 21 CFR Part 11), obligations for audits, breach notification timelines, and responsibilities for regulatory requests or subpoenas, including documentation.

Liability & Indemnity

Limitations on liability, caps on damages, indemnities for data loss or breach, insurance requirements, and carve-outs for gross negligence or willful misconduct by either party.

Subprocessors

Describe subcontractor approval process, subprocessors list, notification procedures for changes, responsibilities for subcontractor compliance, and termination rights if a subprocessor fails to meet contractual obligations.

Security and Technical Requirements to Specify

Encryption Standard: TLS 1.2/1.3 in transit; AES-256 at rest
Access Controls: Role-based access and MFA for administrators
Audit Trail: Immutable logs with timestamps and IP addresses
BAA Availability: Business associate agreement offered for HIPAA
Data Residency: Specify storage region and cross-border transfers
Disaster Recovery: Regular restore testing and documented RTO/RPO

Penalties and Risks to Cover

Data Breach Liability: Potential breach costs and fines
Regulatory Fines: HIPAA fines up to civil penalties
Business Interruption: Lost revenue during outage
Incorrect Retention: IRS, HIPAA retention violations
Contractual Penalties: Service credits or termination rights
Backup Failure Risk: Irrecoverable data or extended downtime

Common Preparation Mistakes to Avoid

  • Failing to define RTO and RPO precisely can lead to unrealistic recovery expectations and disputes over acceptable downtime.
  • Not specifying encryption key ownership or rotation responsibilities risks loss of access or inability to decrypt backups after a provider change.
  • Omitting subprocessors and their locations prevents proper assessment of data residency and may violate contractual or regulatory requirements.
  • Relying solely on image overlays as proof of signature without audit trails weakens enforceability under ESIGN and UETA standards.

Step-by-Step: How to Complete the Agreement

Complete the Cloud Backup Agreement by following a structured review, approval, signature, and retention workflow to ensure enforceability and operational readiness.

  • 01
Prepare Document: Collect technical details, backup schedules, and compliance requirements.
  • 02
Negotiate Terms: Agree SLA metrics, liability, and subprocessors list.
  • 03
Sign & Authenticate: Execute signatures and apply chosen e-sign method.
  • 04
Archive Copies: Store signed agreement and audit trail in secure repository.

Where to Send and Store the Signed Agreement

Routing and submission clarify who receives the agreement, where signed copies are stored, and how change notices are issued across stakeholders.

  • Send to Provider: Deliver executed copy to service provider's legal contact.
  • Internal Records: Retain a signed copy in the company's contract repository.
  • Compliance Team: Share with compliance for audit readiness and regulatory mapping.
  • Change Notices: Send amendments and notices per contract notice provisions.

How to Configure Online Agreement Workflows

Configure the online Cloud Backup Agreement workflow to automate field validation, signer order, and notifications for a predictable execution process.

Initial Effective Date:

Agreement effective on the date signed by last party.

Regular Backups:

Daily, weekly, or continuous as specified in SLA.

Recovery Testing:
