What a Cloud Kitchen Memorandum of Understanding Covers

A Cloud Kitchen Memorandum of Understanding (MOU) is a written agreement that sets out the shared expectations and basic commercial terms between parties using a shared kitchen facility. Typical topics include the identity of parties, permitted use of space and equipment, operating hours, revenue sharing or fee structure, roles and responsibilities for staffing and maintenance, health and safety obligations, insurance, term and termination, and dispute resolution. An MOU may be used as a predecessor to a definitive lease or services agreement and helps clarify operational responsibilities before parties commit to long-form contracts or licensing arrangements.

Why use a Cloud Kitchen MOU

An MOU documents expectations, allocates responsibilities, and reduces operational ambiguity for shared-food operations. It supports permitting, insurance and landlord relationships and provides a basis for later binding contracts if parties decide to formalize terms.

Why use a Cloud Kitchen MOU

Who typically completes a Cloud Kitchen MOU

The MOU is useful to any party preparing to share kitchen infrastructure or services; it clarifies roles before executing leases or service agreements.

  • Cloud kitchen operators and facility managers establishing access, equipment use, and scheduling policies.
  • Restaurant brands, virtual brands, and food entrepreneurs defining revenue splits, menu restrictions, and delivery integrations.
  • Landlords and real estate managers documenting premises access, utilities allocation, and insurance responsibilities.

Parties can use an MOU to test operational assumptions and to document interim terms while negotiating final contracts or permit applications.

Step-by-step: preparing and finalizing an MOU

Follow a concise sequence to negotiate, document, sign, and archive the MOU so operations can begin without avoidable delays.

  • 01
Draft key terms: List parties, premises, services, and fees for review.
  • 02
Confirm permits: Verify local health and business permit requirements.
  • 03
Review risk allocation: Agree insurance, indemnity, and equipment maintenance roles.
  • 04
Sign and store: Execute by authorized signers and retain executed copy.
