Overview: What a Club House Service Agreement Covers

A Club House Service Agreement is a written contract that defines the terms, responsibilities, and fees for use, maintenance, and management of a community clubhouse, amenity space, or shared facility. It typically governs access rules, hours of operation, permitted activities, cleaning and repair obligations, insurance requirements, payment schedules, and dispute resolution between the owner/operator and users or homeowner associations. The agreement allocates liability, specifies who may reserve or manage events, and sets renewal or termination mechanics. Clear, enforceable terms reduce disputes and protect both the facility operator and the membership community.

Why a Clear Agreement Matters for Facilities and Communities

A well-drafted Club House Service Agreement clarifies duties, limits liability, and documents payment and insurance expectations so both parties understand obligations and recourse.

Why a Clear Agreement Matters for Facilities and Communities

Who Typically Prepares or Signs This Agreement

Roles may overlap: the named contracting party should match the entity that holds insurance and budget authority to perform or approve services.

  • Homeowner associations and boards overseeing common-area amenities and scheduling policies for residents.
  • Property management companies responsible for operations, vendor contracts, and routine maintenance tasks.
  • Third-party vendors or event organizers supplying catering, cleaning, security, or repair services under contract.

Principal Signers and Their Roles

HOA Manager

A manager or board officer signs on behalf of the homeowner association and is responsible for contract performance, scheduling, enforcement of rules, and ensuring insurance compliance. The signer must have express board authorization consistent with governing documents.

Facilities Vendor

A vendor or operator signs to accept service obligations, indemnity language, and payment terms. The vendor should provide evidence of licensing and certificates of insurance before starting work or hosting events.

Essential Sections to Include in the Agreement

Include clear, industry-standard clauses that define scope, payment, risk allocation, and administrative processes.

Scope of Services

Describe specific services or uses allowed in the clubhouse, hours of operation, reservation procedures, and any access or staffing responsibilities with measurable standards.

Fees and Payment

State precise fee amounts, invoicing schedule, late-payment penalties, and accepted payment methods; specify who pays utilities, supplies, or overtime charges.

Access and Hours

Set rules for member access, guest policies, noise restrictions, and procedures for unauthorized use or security incidents.

Maintenance Obligations

Allocate routine cleaning, repairs, and long-term maintenance duties; designate responsibility for emergency repairs and response times.

Insurance and Liability

Require minimum general liability and additional insured endorsements where appropriate, list required policy limits, and explain indemnity between parties.

Termination & Renewal

Specify term length, renewal mechanics, notice periods for non-renewal or termination, and remedies for breach including cure periods.

Step-by-Step: Completing the Agreement

Follow a consistent sequence to prepare, review, and execute the agreement to avoid gaps and delays.

  • 01
Gather Documents: Collect bylaws, insurance certificates, and vendor licenses before drafting.
  • 02
Draft Terms: Insert clear scope, schedule, fees, and insurance requirements.
  • 03
Review Internally: Have board counsel and operations review draft for compliance.
  • 04
Sign and Record: Execute with authorized signatures and retain final copies for records.

Digital Workflow Settings for Online Completion

When configuring an e-sign workflow, define signer order, authentication, and recordkeeping settings up front.

Field Configuration
Signer Order Sequential or parallel signer order; choose sequential for approvals.
Authentication Use email link plus SMS code or KBA for higher-value agreements.
Audit Trail Enable full audit logs with timestamps and IP addresses.
Document Retention Set automated storage and retention policies per compliance needs.

Where to Send or File the Signed Agreement

Determine official recipients and storage locations before signing so distribution and compliance are automatic.

  • Primary Record: Store signed original with the association or management company's contract records.
  • Vendor Copy: Provide the executed contract and required insurance certificates to the vendor.
  • Accounting: Send a copy to accounting for invoicing and payment tracking.
  • Legal/Compliance: Retain a copy with counsel for dispute support and governance review.

Digital Signing and File Format Requirements

Ensure the platform retains tamper-evident records, supports required retention policies, and can export signed files for archives and audits.

  • File Types: PDF, DOCX
  • Integrations: Google Workspace | Microsoft 365 | NetSuite
  • Authentication: Email, SMS code, or KBA

Principal Risks of an Incorrect or Incomplete Agreement

Invalid Signature: Missing or unauthorised signers
Breach Liability: Damages for nonperformance or improper termination
Insurance Gaps: Insufficient coverage during events or repairs
Tax Reporting: Misstated fees may create IRS reporting issues
Late Fees: Accruing penalties for unpaid invoices
Regulatory Violations: Violations of local ordinances or safety codes

Common Preparation Errors to Avoid

  • Using informal or incomplete party names that differ from insurance or corporate records, creating ambiguity in enforcement.
  • Leaving effective dates blank or using inconsistent date formats, which can affect when obligations and cure periods begin.
  • Failing to attach proof of insurance or vendor licenses before performance, leaving the association exposed to uninsured events.
  • Ambiguous fee language or open-ended reimbursement clauses that lead to disputes over responsibility for overtime or extra supplies.

Practical Tips for Accurate and Efficient Completion

Adopt consistent document controls and review checkpoints to reduce errors and administrative burden.

Standardized Template
Use a single approved template for all clubhouse arrangements to ensure consistent clauses, insurance language, and signature blocks across agreements.
Pre-Sign Checklist
Require proof of insurance, vendor licenses, and board authorization before routing for signature to avoid post-execution substitutions.
Version Control
Keep a clear amendment process with dated revisions and retain prior executed copies for dispute resolution and audit trails.
Audit Documentation
Enable an auditable e-sign solution that records timestamps, IP addresses, and signer attribution for enforceability.

Typical Timeframes and Notice Periods to Include

Define calendar-driven milestones so both parties understand timing for performance, payment, and termination.

Effective Date:

The day performance begins; use MM/DD/YYYY format to avoid ambiguity.

Payment Due Dates:

Specify invoice due dates and late fee calculation method explicitly.

Insurance Renewal:

Require updated certificates 30 days before renewal or policy changes.

Termination Notice:

Standard notice periods range from 30 to 90 days depending on the term clause.

Cure Period:

Allow a reasonable cure period, commonly 10–30 days, for remediable breaches.
