CLUBHOUSE USAGE AGREEMENT

This Clubhouse Usage Agreement (the Agreement) is entered into effective as of between the Owner/Association and the User identified below.

WHEREAS

WHEREAS, the Association owns and operates the clubhouse facility described in this Agreement for the benefit of its members and authorized users; and

WHEREAS, the User desires to reserve and use the clubhouse for a specific event and agrees to comply with the terms, conditions, rules and applicable operating policies set forth in this Agreement; and

WHEREAS, the parties intend by this Agreement to set forth the scope of permitted use, payment obligations, indemnity, insurance, and other material terms governing the User’s access to and use of the clubhouse.

This Agreement may be terminated by the Association for nonpayment, material violation of rules, or if continued use would create a hazard. Either party may terminate by providing written notice no fewer than days prior to a scheduled date. Termination for cause by the Association is effective immediately upon written notice.

INSURANCE, INDEMNITY AND RISK

User shall indemnify, defend and hold harmless the Association, its directors, officers and agents from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys’ fees) arising from or related to User’s use of the clubhouse, except to the extent caused by the gross negligence or willful misconduct of the Association.

Insurance requirement: Prior to the event, User shall provide a certificate of insurance evidencing general liability coverage in the minimum amount of $ naming the Association as an additional insured where applicable.

CONDUCT, COMPLIANCE AND FACILITY RULES

User agrees to comply with all clubhouse rules concerning noise, occupancy limits, smoking, parking, trash removal, permitted hours and use of Association equipment. User accepts responsibility for supervising attendees and ensuring compliance with all applicable laws.

Alcohol:

Security/Police: The Association may require professional security for events with anticipated attendance over persons or where alcohol is served. Costs for required security shall be borne by the User.

CONFIDENTIALITY

Each party shall maintain in confidence any nonpublic personal information or Association operational information disclosed in connection with this Agreement and shall not disclose such information except as required by law. This obligation shall survive termination of this Agreement for a period of two years.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT; SEVERABILITY

This Agreement, including any attachments or written rules incorporated by reference, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior oral or written understandings. If any provision of this Agreement is held invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.
