What a Co-Author Agreement Covers

A Co-Author Agreement is a legal contract used when two or more creators collaborate on a written work, specifying ownership percentages, rights to revise or license, revenue sharing, and credit attribution. It documents who may exploit the work, how new contributions are handled, and procedures for resolving disputes. The agreement can cover copyright assignment or license terms, moral rights, release schedules, and confidentiality obligations. Properly drafted, it minimizes ambiguity about authorship, prevents future ownership disputes, and supports enforceability in court or arbitration by recording the parties' intent and signatures.

Why formalize co-authorship in writing

Solid written terms reduce later disputes about ownership, royalties, and usage rights and clarify each party’s ongoing obligations.

Why formalize co-authorship in writing

Typical parties and roles for this agreement

Co-Author Agreements are used by writers, researchers, producers, and organizations collaborating on books, articles, reports, scripts, or multimedia projects.

  • Independent writers and authors splitting authorship and royalties on a joint manuscript
  • Academic researchers clarifying contribution credits, data ownership, and publication order
  • Creative teams (screenwriters, composers) allocating copyright shares and licensing permissions

Use tailored clauses for revenue sharing, termination, and assignment to match the collaboration type and industry norms.

Who can sign and what authority is needed

Individual Author

A natural person with legal capacity may sign for their individual rights. If an author represents an employer or trust, an authorized agent should sign and state the capacity to bind the organization.

Organizational Signatory

A company or institution should sign via an officer or delegated representative with written authority. Include the signer’s title and a statement of authority to avoid later challenges to the agreement’s validity.

Frequent pitfalls to avoid

  • Failing to define 'work' precisely leaves room for disagreement about what contributions are covered under the agreement.
  • Not specifying revision or derivative rights can result in conflicts when one author adapts the material or licenses it to third parties.
  • Using informal email agreements without signatures or retention undermines proof of intent and may prevent enforcement under ESIGN/UETA criteria.
  • Neglecting to address future contributors or successors creates gaps when collaborators assign their interests or pass away.

  • Invite Signers: Send email or link with signer order.
  • Capture Audit: Platform logs IP, timestamp, and actions.
