CO-BROKER REAL ESTATE AGREEMENT

This Co-Broker Real Estate Agreement ("Agreement") is entered into as of Effective Date: by and between the parties set forth below for the purpose of establishing the terms under which Listing Broker and Co-Broker will cooperate in the marketing and sale of the Property described herein.

Commission and Compensation

Total Commission Offered by Listing Broker to Cooperating Broker for procurement of a ready, willing and able buyer shall be of the gross sales price, of which Co-Broker shall be entitled to .

Alternatively, the parties agree to a flat Co-Broker fee of $ payable at Closing.

Payment of Co-Broker compensation is conditioned upon: (a) execution of a binding purchase agreement by a buyer procured by Co-Broker or introduced to the listing; (b) closing of escrow and receipt of full commission proceeds by Listing Broker; and (c) no material default by the procuring party prior to closing. If Closing does not occur due to buyer default, compensation will be determined in accordance with the parties' good faith and applicable licensing rules.

Duties, Cooperation and Authority

Co-Broker shall use commercially reasonable efforts to show the Property, solicit offers, and present prospective buyers in a professional manner consistent with applicable real estate licensing laws. Listing Broker shall provide Co-Broker with accurate listing information, access instructions, and any required disclosures. Neither party shall bind or obligate the other except as expressly set forth in this Agreement.



Escrow, Earnest Money and Closing

Disbursement of commissions and any dispute over escrowed funds shall be resolved in accordance with escrow instructions and applicable law. If escrow refuses to disburse commissions absent a final adjudication, the parties agree to submit the dispute to binding arbitration as set forth below.

Term and Termination

This Agreement shall commence on Effective Date and remain in effect until Termination Date: unless earlier terminated by mutual written agreement or for cause upon material breach by a party.

Confidentiality; Non-Disclosure

Each party shall keep confidential all non-public information received from the other party concerning prospective buyers, offers, pricing strategies and the Property, and shall not disclose such information except as required by law or as necessary to perform under this Agreement. Confidential information shall not include information that is already publicly known through no fault of the receiving party.

Compliance; Licenses; Representations

Each party represents and warrants that it holds all licenses and authorizations required by law to perform the services contemplated by this Agreement and will comply with all applicable real estate licensing laws, brokerage rules, and fiduciary duties. Each party shall promptly notify the other of any licensing suspension, revocation, or material disciplinary action.

Indemnification and Limitation of Liability

Each party shall indemnify, defend and hold harmless the other party from and against any claims, losses, liabilities, damages and expenses arising from the indemnifying party's negligent acts, willful misconduct, or breach of this Agreement, except to the extent caused by the indemnitee's own negligence or willful misconduct. Neither party shall be liable for consequential or punitive damages except for willful misconduct or fraud.

Dispute Resolution

Any dispute arising out of or relating to this Agreement shall be resolved by binding arbitration administered in accordance with the parties' selection of rules. Judgment on the arbitration award may be entered in any court of competent jurisdiction. The prevailing party shall be entitled to recover reasonable attorneys' fees and costs.

Notices

All notices required under this Agreement shall be in writing and delivered to the respective addresses set forth below, by personal delivery, nationally recognized overnight courier, or certified mail (return receipt requested), and shall be effective upon receipt.

Governing Law; Entire Agreement; Amendment

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. Any amendment or modification must be in writing signed by both parties.

This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.
