What a Co-Sell Partnership Agreement Is and when it applies

A Co-Sell Partnership Agreement is a written contract between two or more companies that describes how they will jointly market, sell, and share revenue on specified products or services. It sets roles for lead identification, pipeline management, revenue split, confidentiality, intellectual property allocation, and dispute resolution. These agreements clarify responsibilities for joint sales activities, customer introductions, and post-sale support, and they often include non-solicitation, exclusivity, and termination clauses. When executed correctly, the agreement reduces ambiguity on commission payment timing, compliance with privacy rules, and ownership of jointly developed materials.

Why a clear Co-Sell Agreement matters for joint revenue

A robust agreement reduces commercial friction by defining lead ownership, revenue sharing, compliance obligations, and termination mechanics. It protects each party’s IP, clarifies customer-facing roles, and creates measurable handoff points for sales and legal teams.

Why a clear Co-Sell Agreement matters for joint revenue

Who typically prepares and signs a Co-Sell Partnership Agreement

Use cross-functional review—sales, partnerships, legal, and finance—to confirm operational details and minimize downstream disputes.

  • Channel managers and partnerships teams who coordinate joint selling and lead tracking across organizations.
  • Sales leadership and account executives responsible for pipeline, deal registration, and commission allocation.
  • Legal and finance teams that review revenue share, indemnities, confidentiality, and tax reporting obligations.

Signatory roles and typical signers

Partnerships Director

The Partnerships Director or Channel Lead signs for commercial commitments related to joint go-to-market activities and lead distribution; they confirm operational readiness and resource allocation in writing.

Authorized Officer

An authorized officer (CEO, CFO, or VP of Sales) executes the agreement when it creates legal obligations for the company, including revenue-sharing terms and exclusive sales arrangements.

Essential compliance and security items to include

Data privacy: Define permitted data use and GDPR/HIPAA constraints
Audit trail: Record signatures, timestamps, and signer attribution
Encryption: TLS 1.2/1.3 in transit; AES-256 at rest
Business associate: HIPAA BAA required if PHI is exchanged
Record retention: Specify retention periods and access procedures
Authentication: Specify acceptable signer authentication methods

Key legal and commercial risks of a flawed agreement

Revenue disputes: Delayed or withheld commission payments
IP exposure: Unclear ownership of jointly created assets
Regulatory breach: Privacy violations with HIPAA or state law
Tax consequences: Incorrect reporting of shared revenue
Contract termination: Abrupt deal loss or clawbacks
Reputational harm: Customer confusion over support responsibility

Common preparation pitfalls to avoid

  • Vague revenue definitions that fail to specify net-of-what calculations, causing later disputes over deductions and refunds.
  • Missing lead-handling steps such as registration windows, expiration of registrations, and proof required to claim a lead.
  • Absent data-sharing safeguards, leading to privacy exposures when customer data is exchanged without proper BAA or consent.
  • No termination mechanics or post-termination obligations, leaving residual revenue allocation and support responsibilities unresolved.

Step-by-step: completing a Co-Sell Partnership Agreement

Follow a sequential review and execution process that aligns sales, legal, and finance responsibilities to keep deals on track and enforceable.

  • 01
Draft core terms: Define products, territories, revenue split, and lead rules
  • 02
Legal review: Confirm IP, indemnity, warranty, and liability clauses
  • 03
Commercial sign-off: Obtain approvals from partnerships and finance
  • 04
Execute signatures: Collect authorized signatures and retain audit trail

How the agreement operates in a joint-sales workflow

A Co-Sell Agreement maps handoffs, responsibilities, and compensation across the sales lifecycle so both parties can track pipeline and revenue.

  • Lead registration: Register lead with required documentation and timestamp
  • Joint engagement: Define who leads demos, proposals, and negotiations
  • Deal close: Record revenue event and calculate shares
  • Post-sale support: Assign customer support and ongoing responsibilities

Core clauses to include in a professional Co-Sell Agreement

A complete agreement combines commercial terms with operational procedures and legal protections so each party knows obligations and remedies.

Scope

Precisely describe covered products, services, and geographic or vertical territories, and list any excluded items to avoid ambiguity in sales efforts.

Lead handling

Set the process for lead submission, acceptance windows, qualification criteria, and proof requirements for claiming credit on a sale.

Revenue split

State gross-to-net calculations, timing of payments, invoicing procedures, and treatment of refunds, chargebacks, or discounts.

IP and content

Allocate ownership of co-branded materials, joint deliverables, and any jointly developed intellectual property with licensing terms as needed.

Privacy and security

Include data processing rules, responsibility for breach notifications, and a HIPAA BAA if protected health information is exchanged.

Termination

Define notice periods, wind-down responsibilities, residual commissions, and post-termination support or non-solicitation obligations.

Configuring a digital co-sell execution workflow

Map fields and routing rules in your eSignature platform to match the agreement’s signing order and approval checkpoints.

Field Configuration
Signing Order Sequential signing by partnerships, legal, then authorized officer
Authentication Email verification with optional SMS or KBA per party risk profile
Conditional Fields Show revenue-share details only after product selection is completed
Audit Trail Enable full event log and downloadable certificate of completion

Digital signing essentials and integration considerations

Verify platform compliance needs such as HIPAA, ESIGN/UETA adherence, and retention before finalizing the workflow.

  • File formats: PDF and DOCX support required
  • Integrations: CRM and cloud storage connectors recommended
  • Authentication: SMS, email, or KBA depending on risk

Typical timeframes and notice periods to include

Define measurable timelines for key activities—registration, review, approval, payment, and termination notice—to avoid disputes and missed obligations.

Lead registration window:

30 calendar days from first contact is a common standard

Payment timing:

Net 30 after invoice receipt unless specified otherwise

Termination notice:

30–90 days written notice depending on clause

Dispute escalation:

14–30 days to attempt internal resolution before arbitration

Revenue reconciliation:

Quarterly reconciliation cycle with supporting documentation

Lead Identification

Capture lead source and submit registration with required proof

02

Joint Engagement

Coordinate demos and proposal ownership per clause

03

Contract Execution
