WHEREAS

WHEREAS, Coach is engaged in the business of providing professional coaching, mentoring, and related consulting services designed to support the Client in pursuing specified goals and personal or professional development; and

WHEREAS, Client desires to retain Coach to provide coaching services and Coach agrees to provide such services to Client on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties intend that their respective rights and obligations will be governed by the terms of this Agreement and that this Agreement shall supersede all prior agreements, representations, and understandings between them with respect to the subject matter hereof.

Scope of Work

Coach will provide coaching sessions and related materials as agreed in the Scope of Work. Sessions may be delivered in person, by phone, or via electronic means as agreed. Coach will exercise professional judgment, use reasonable care, and apply coaching methodologies appropriate to Client objectives. Coach makes no guarantees as to outcomes.

Payment Terms

Unpaid amounts shall accrue interest at the rate specified above from the due date until paid. Client shall be responsible for reasonable collection costs, including attorney fees, incurred by Coach to collect overdue amounts.

Either party may terminate this Agreement upon written notice to the other in accordance with the notice period above. Coach may terminate immediately for cause, including nonpayment, repeated no-shows, or conduct that materially impairs the coaching relationship. Termination shall not relieve Client of the obligation to pay fees for services rendered through the effective date of termination.

Confidentiality

Except as otherwise required by law, Coach shall keep confidential all information disclosed by Client in the course of the coaching relationship that is identified as confidential or that a reasonable person would understand to be confidential. Coach may use confidential information solely to perform coaching services. Confidential information does not include (a) information that is or becomes publicly available through no breach of this Agreement, (b) information lawfully obtained from a third party not subject to confidentiality obligations, or (c) information independently developed by Coach without reference to Client confidential information.

Coach may disclose Confidential Information when compelled by law or a valid legal process; provided Coach gives Client reasonable prior notice to seek protective relief, if practicable.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. Venue for any dispute arising under this Agreement shall lie exclusively in the state or federal courts located in that state.

Entire Agreement

This Agreement, together with any attachments or addenda signed by the parties, constitutes the entire agreement between Coach and Client with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written. No amendment to this Agreement shall be effective unless in writing and signed by both parties.

Independent Contractor; Miscellaneous

Coach is an independent contractor. Nothing in this Agreement shall be construed to create an employment relationship, joint venture, partnership, or agency between the parties. Client is solely responsible for decisions, actions, and results from participation in coaching. Coach disclaims any liability for Client decisions or actions carried out following coaching sessions, except to the extent caused by Coach's gross negligence or willful misconduct.
