WHEREAS, Client desires to engage Coach to perform a coaching assessment and related services under the terms set forth in this Agreement; and

WHEREAS, Coach and Client agree that assessment findings and recommendations will inform a coaching plan and any further coaching engagements.

SCOPE OF WORK

Services include assessment administration, scoring and interpretation, one-on-one feedback session, and written recommendations. Specific deliverables and timelines are described above and will be considered part of this Agreement.

Deposit required prior to commencement. Deposit amount:

Invoices are due within days of invoice date. Late payments shall accrue interest at on outstanding balances, or the maximum permitted by law, whichever is lower.

Either party may terminate this Agreement for convenience upon providing written notice as specified above. Termination for cause is permitted where a material breach remains uncured for more than the notice period. Upon termination, Client shall pay for all services performed and expenses incurred through the effective termination date.

CONFIDENTIALITY

Each party shall maintain the confidentiality of Confidential Information disclosed by the other party. "Confidential Information" includes assessment results, written reports, personal data, and any material designated as confidential. Confidential Information shall not be disclosed except to employees, consultants, or agents with a need to know and who are bound by confidentiality obligations no less restrictive than those herein, or as required by applicable law.

Substantive exceptions include information that is or becomes public other than through breach of this Agreement, or is independently developed by the receiving party without use of the disclosing party's Confidential Information.

Client and Coach acknowledge and agree to the confidentiality obligations set forth above.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of law principles. The parties submit to the exclusive jurisdiction of the courts located in that state for disputes arising out of this Agreement.

ENTIRE AGREEMENT

This Agreement, together with any attached exhibits, schedules or statements of work, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. No amendment shall be effective unless in writing and signed by both parties.
