What the Coaching Client Agreement Is and What It Covers

A Coaching Client Agreement is a written contract between a coach or coaching practice and an individual or organization receiving coaching services. It defines scope of work, deliverables, meeting cadence, fees and payment terms, confidentiality and privacy obligations, intellectual property ownership, cancellation and rescheduling rules, and termination conditions. The agreement clarifies whether services are advisory versus employment and sets expectations for results and responsibility. When executed properly it creates enforceable rights and duties under contract law and may be completed electronically under ESIGN and state UETA laws where allowed.

Why a Coaching Client Agreement Matters for Both Parties

A clear agreement reduces misunderstandings, protects confidential information, and documents fees and timelines. It creates a baseline for dispute resolution and lets parties control intellectual property and publicity rights.

Why a Coaching Client Agreement Matters for Both Parties

Who Typically Uses a Coaching Client Agreement

Coaches, small practices, corporate coaching programs, and clients use this agreement to set expectations and document payment, cancellation, and confidentiality terms.

  • Independent coaches who need written terms for engagements and payments.
  • In-house HR or L&D teams managing vendor coaches for employees.
  • Clients commissioning packages, executive coaching, or group programs.

Use the agreement whenever coaching services are offered for a fee, when formalizing recurring sessions, or when delivering multi-session packages to individuals or groups.

Core Clauses to Include in a Professional Coaching Client Agreement

A concise set of clauses ensures clarity and legal defensibility; include scope, payment, confidentiality, termination, liability limits, and dispute resolution in clear language.

Scope of Services

Describe session types, frequency, duration, and deliverables so both parties understand exactly what coaching includes and what is out of scope.

Fees & Payment

Specify total cost, per-session fee, payment schedule, late fees, accepted payment methods, and refund or cancellation policies to avoid billing disputes.

Confidentiality

State nondisclosure obligations, exceptions (legal compulsion), and any agreed limits on sharing session notes or progress with employers or third parties.

Termination

Set notice periods, termination for cause, effects of termination on fees, and any prorated refund rules for prepaid packages.

Liability & Disclaimer

Limit liability for outcomes, disclaim therapeutic or medical services if not provided, and advise clients to seek licensed professionals where appropriate.

Intellectual Property

Clarify ownership of materials, whether work products are licensed for client use, and any restrictions on redistribution or training content.
