Coaching Member Agreement

This Coaching Member Agreement ("Agreement") is entered into as of by and between , with principal address (the "Coach"), and , with principal address (the "Member").

Recitals

WHEREAS, Coach provides professional coaching services, including individual and group coaching, curriculum, materials and related support designed to assist clients in achieving personal and professional goals; and

WHEREAS, Member desires to engage Coach to provide coaching services on the terms and conditions set forth in this Agreement; and

WHEREAS, Coach is willing to provide such services to Member, and Member is willing to receive such services, each subject to the mutual covenants and conditions contained herein.

NOW, THEREFORE, in consideration of the mutual agreements contained herein, the parties agree as follows:

1. Definitions

1.1 "Services" means the coaching sessions, materials, tools and support to be provided by Coach as described in Section 2 and in the Program Description set forth below.

1.2 "Confidential Information" means information disclosed by a party that is identified as confidential or that, under the circumstances, ought reasonably to be treated as confidential, including but not limited to personal information, business plans, trade secrets, coaching materials and proprietary methodologies.

2. Scope of Services

Coach will provide the Services as described in the Program Description below. Services may include one-on-one coaching sessions, group coaching sessions, written materials and email or messaging support. Coach will determine the method, manner and means of performing the Services, subject to the agreed schedule.

3. Term

The term of this Agreement begins on the Effective Date and continues until , unless earlier terminated in accordance with Section 7. The parties may extend the term by mutual written agreement.

4. Fees and Payment

Member shall pay Coach the fees set forth below and in any invoice delivered to Member. Fees are earned upon receipt unless otherwise agreed in writing. Coach may suspend Services for any delinquent payment in accordance with this Section.

5. Cancellation, Rescheduling and Refunds

Member may cancel or reschedule a session by providing Coach with at least days' advance written notice. Without timely notice, Coach may charge the full fee for the missed session.

6. Confidentiality

Each party agrees to keep Confidential Information of the other party strictly confidential and not to disclose it except to those of its employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations at least as protective as those in this Agreement. Confidential Information does not include information that (a) is or becomes public knowledge through no fault of the receiving party; (b) is lawfully received from a third party without breach of an obligation of confidentiality; or (c) is independently developed without use of the disclosing party's Confidential Information.

Notwithstanding the foregoing, Coach may use aggregated and anonymized coaching outcomes for internal evaluation and improvement provided no personally identifying information of Member is disclosed.

7. Termination

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate immediately for material breach by the other party if the breach remains uncured for a period of 14 days after written notice specifying the breach. Termination shall not relieve Member of obligations to pay fees accrued prior to termination and any non-cancellable obligations incurred by Coach on Member's behalf.

8. Intellectual Property

All training materials, methodologies, course content, and intellectual property provided by Coach are and shall remain the sole and exclusive property of Coach. Coach grants Member a limited, non-exclusive, non-transferable license to use such materials solely for Member's personal use during the Term. Member may not reproduce, distribute, sell, publicly display, or create derivative works based on Coach's materials without prior written consent.

9. Non-Solicitation

During the Term and for a period of months following termination, Member shall not, directly or indirectly, solicit or hire any employee, contractor or client of Coach with whom Member had material contact as a result of this Agreement.

10. Limitation of Liability

EXCEPT FOR BREACHES OF CONFIDENTIALITY OR WILLFUL MISCONDUCT, COACH'S AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY MEMBER TO COACH UNDER THIS AGREEMENT DURING THE SIX (6) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES.

11. Indemnification

Each party shall indemnify, defend and hold harmless the other party and its officers, directors, employees and agents from and against any and all third-party claims, liabilities, damages, losses and expenses (including reasonable attorneys' fees) arising out of or resulting from the indemnifying party's breach of this Agreement, negligence or willful misconduct.

12. Notices

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by written notice to the other party.

13. Amendments and Waiver

Any amendment or modification of this Agreement must be in writing and signed by both parties. No failure or delay by either party in exercising any right shall operate as a waiver of that right unless the waiver is in writing and signed by the waiving party.

14. Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in that state for any dispute arising out of this Agreement.

15. Entire Agreement; Severability; Counterparts

This Agreement, together with any attachments or addenda signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. This Agreement may be executed in counterparts, each of which shall be deemed an original, and all of which together shall constitute one and the same instrument.

Member acknowledges that Coach does not guarantee any particular results and that coaching is not a substitute for professional advice (legal, medical, financial, or mental health). Member is responsible for making their own decisions and for consulting licensed professionals as appropriate.
