Recitals

WHEREAS, Mentor provides professional coaching and mentoring services intended to support the Client's professional development, performance improvement, and goal attainment; and

WHEREAS, Client seeks to engage Mentor to provide individualized coaching sessions and a record of mentoring activities, progress, and agreed action items under the terms set forth in this Coaching Mentor Record; and

WHEREAS, the parties intend that this document will serve both as a service agreement covering the coaching engagement and as the formal record of mentoring sessions and observations.

Scope of Work

Mentor will provide individualized coaching and mentoring services to Client which may include goal-setting, skills assessment, progress reviews, feedback, and recommended actions. The services will be performed in a manner consistent with industry standards and the Mentor's professional obligations.

Delivery Methods

Delivery method may vary by session; parties will confirm prior to each session.

Payment Terms

Client will pay Mentor for the services described above in accordance with the payment schedule and rates set forth below. All fees are due in accordance with the agreed payment schedule. Overdue amounts will accrue a late fee as specified below and may result in suspension of services.

Term and Termination

This agreement commences on the Start Date and continues until the End Date, unless earlier terminated in accordance with the provisions below.

Either party may terminate this engagement for convenience with prior written notice to the other party given at least days prior to the intended termination date. Either party may terminate immediately for cause upon material breach by the other party that is not cured within 14 days after written notice of such breach.

Confidentiality

Each party acknowledges that during the performance of this engagement it may receive Confidential Information of the other party. "Confidential Information" means non-public information disclosed in writing or orally that is identified as confidential at the time of disclosure or that a reasonable person would understand to be confidential given the nature of the information and the circumstances of disclosure.

The receiving party shall (a) hold Confidential Information in strict confidence, (b) not disclose it to any third party except as permitted herein, and (c) use it only in connection with the performance of this agreement. The obligations in this section do not apply to information that is or becomes publicly available through no fault of the receiving party, that was lawfully known prior to disclosure, or that is required to be disclosed by law, provided the receiving party gives prompt notice to the disclosing party and limits the disclosure to the extent legally required.

Governing Law
