What the Coaching Subcontract Agreement Is

The Coaching Subcontract Agreement is a written contract used when a primary coaching provider (the contractor) engages an independent coach or coaching firm (the subcontractor) to deliver coaching services on the contractor’s behalf. It allocates responsibilities, describes scope of work, sets payment terms, addresses confidentiality and intellectual property, and clarifies client ownership and reporting. The agreement also includes compliance provisions for applicable privacy laws, limits on liability, indemnity, and termination rights. Clear subcontract terms reduce disputes, ensure consistent client experience, and document service standards between contracting parties.

Why a Subcontract Agreement Matters

Using a Coaching Subcontract Agreement protects the primary contractor and subcontractor by defining deliverables, payment, and risk allocation. It supports regulatory compliance for client data, preserves brand and coaching standards, and reduces the likelihood of disputes through clear contractual obligations and remedies.

Why a Subcontract Agreement Matters

Who Typically Uses This Agreement

Typical users include independent coaches, coaching practices, training organizations, HR or learning teams, and staffing agencies that subcontract coaching services.

  • Independent coaches contracting through agencies or platforms to deliver client coaching services under a lead contract.
  • Coaching firms outsourcing specialized coaches for niche programs, onboarding, or overflow capacity management.
  • HR, learning, or program managers engaging external coaches to scale corporate coaching initiatives or employee development.

The agreement helps operational teams and legal reviewers standardize engagements and speed onboarding of external coaches.

Primary Parties and Their Roles

Lead Contractor

The lead contractor manages the client relationship, defines program objectives, coordinates logistics, and makes payments to subcontractors. They remain contractually responsible to the client for service quality and compliance; the subcontract agreement clarifies allocation of liabilities and reporting obligations between parties.

Subcontractor

The subcontractor delivers coaching services per the scope, maintains required qualifications and insurance, and follows client-facing standards. They invoice the lead contractor as agreed and must comply with confidentiality, data protection, and non-solicitation clauses specified in the Coaching Subcontract Agreement.

Core Elements Every Agreement Should Cover

Core elements in a Coaching Subcontract Agreement ensure clarity on responsibilities, compensation, client relationships, confidentiality, intellectual property, and dispute resolution between contracting parties.

Scope

Describe services to be provided, session counts or hours, deliverables, locations, acceptable delivery modes (in-person, virtual), reporting requirements, and any client-facing materials the subcontractor will use.

Compensation

State the fee structure, hourly or per-session rates, payment schedule, required invoice format, reimbursement of pre-approved expenses, tax obligations, and procedures for withholding or offsetting disputed amounts.

Client Relationship

Clarify which party holds the client contract, how introductions are managed, client communications ownership, and restrictions on subcontractor soliciting clients directly during and after engagement.

Confidentiality

Specify confidentiality obligations, permitted disclosures, data handling standards including encryption, secure transmission requirements, breach notification timelines, record retention policies, and any required business associate agreements for healthcare information.

IP Rights

Assign ownership or license of coaching materials, client deliverables, and proprietary methodologies; specify permitted uses, sublicensing restrictions, confidentiality of templates, and any post-termination return or destruction obligations.

Termination

Define termination for convenience and for cause, required notice periods, cure windows, obligations during transition, compensation for completed work, and post-termination transition assistance to avoid client disruption.
