COACHING WAIVER AGREEMENT

This Coaching Waiver Agreement ("Agreement") is made effective as of by and between Coach Name: with principal address and Client Name: with principal address .

RECITALS

WHEREAS, Coach provides professional coaching services including, without limitation, personal development, performance coaching, and accountability consultations (collectively, the "Services"); and

WHEREAS, Client desires to engage Coach to provide the Services and acknowledges that coaching is not a substitute for medical, psychological, legal or other professional services; and

WHEREAS, the parties desire to allocate risks associated with the Services and to memorialize certain acknowledgements and releases in advance of Coach performing Services.

NOW THEREFORE, in consideration of the mutual covenants and agreements set forth below, the parties agree as follows:

1. DEFINITIONS

1.1 "Services" means the coaching sessions, materials, assignments and related communication described in Section 2. "Confidential Information" means information disclosed by either party that is identified as confidential or that, by its nature, a reasonable person would understand to be confidential.

2. SCOPE OF SERVICES

2.1 Coach will provide Services to Client in accordance with a mutually agreed schedule and scope. The initial description of Services is:

3. ASSUMPTION OF RISK

3.1 Client acknowledges that coaching may involve emotional or psychological exploration that could result in discomfort or stress. Client represents that Client has no medical or psychological condition that would render participation in coaching unsafe without prior consultation with a qualified health professional.

3.2 Client voluntarily assumes all risks associated with the Services and agrees that Coach is not responsible for diagnosing or treating medical or mental health conditions.

4. RELEASE AND WAIVER

4.1 To the fullest extent permitted by law, Client releases, waives, discharges, and covenants not to sue Coach and Coach's agents, contractors and affiliates from any and all liability, claims, demands, actions or causes of action arising out of or related to any loss, damage or injury, including death, that may be sustained by Client in connection with the Services, whether caused by the negligence of Coach or otherwise, except to the extent such liability is non-waivable under applicable law.

4.2 Client further agrees that this waiver and release applies to claims that are known or unknown, suspected or unsuspected, and Client expressly waives any rights under any statute or rule that would limit the scope of this waiver.

5. CONFIDENTIALITY

5.1 Coach will treat information provided by Client as Confidential Information and will not disclose it except (a) as required by law, (b) with Client's consent, or (c) to the extent necessary to prevent imminent harm. Coach may use de-identified case examples for training or supervision purposes provided no identifying details are disclosed.

5.2 Client acknowledges that communications by electronic means may not be completely secure and consents to reasonable use of email and messaging for scheduling and materials.

6. PAYMENT; CANCELLATION; REFUNDS

6.1 Client will pay Coach the fees stated above according to the schedule agreed between the parties. Unless otherwise agreed in writing, payments are non-refundable. Coach reserves the right to suspend Services for unpaid fees.

6.2 Cancellation: Client agrees to provide at least 24 hours' notice to cancel or reschedule a session. Coach may charge a cancellation fee for late cancellations or missed sessions.

7. TERM AND TERMINATION

7.1 This Agreement begins on the Effective Date and continues until the Services are completed, unless earlier terminated by either party on thirty (30) days' written notice. Either party may terminate immediately for material breach or unlawful conduct.

8. CLIENT REPRESENTATIONS; RESPONSIBILITIES

8.1 Client represents that Client has provided full and accurate information concerning Client's medical, psychological and physical condition that could affect participation in coaching. Client agrees to promptly provide updates to Coach of any material changes.

8.2 Client acknowledges that Coach is not providing medical or psychological treatment and that Client will seek independent professional advice for such matters.

9. INDEMNIFICATION

9.1 Client agrees to indemnify and hold harmless Coach and Coach's affiliates, employees and agents from any claims, losses, damages, liabilities or expenses (including reasonable attorneys' fees) arising out of Client's breach of this Agreement, Client's negligence, or Client's willful misconduct.

10. LIMITATION OF LIABILITY

10.1 Except for liability resulting from gross negligence or willful misconduct to the extent non-waivable by law, Coach's total liability to Client for any claim arising out of or relating to this Agreement shall not exceed the total fees paid by Client to Coach under this Agreement in the twelve (12) months preceding the claim.

11. NOTICES

11.1 All notices under this Agreement shall be in writing and delivered to the addresses below, either personally, by certified mail, or by overnight courier.

12. AMENDMENTS; WAIVER

12.1 No amendment to this Agreement will be effective unless in writing and signed by both parties. The failure of either party to insist upon strict performance of any provision of this Agreement will not be construed as a waiver of any subsequent default of the same or similar nature.

13. GOVERNING LAW; VENUE

13.1 This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction in which Coach maintains a principal place of business, without regard to conflict of law principles. Venue for any dispute will be proper in the courts located in that jurisdiction.

14. ENTIRE AGREEMENT; SEVERABILITY; COUNTERPARTS

14.1 This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions will remain in full force and effect. This Agreement may be executed in counterparts, each of which will be deemed an original.

15. ACKNOWLEDGEMENTS
